This Purchase Order is issued by Himalayan Corporate Solutions Pvt. Ltd., a registered company operating in Nepal Kathmandu, to engage the services of Adv. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Nepal. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal. The Lawyer shall comply with all professional conduct rules established by the Nepal Bar Council.
- Professional Qualification: The Lawyer engaged under this Purchase Order must hold a valid practicing license issued by the Nepal Bar Council and must maintain professional indemnity insurance with a minimum coverage of NPR 5,000,000 throughout the duration of this engagement in Nepal Kathmandu.
- Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and matters disclosed by the Buyer in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the Nepal Privacy Act, 2075 (2018).
- Payment Schedule: Payment for the monthly retainer (Item 1) shall be due on the 5th of each month. Lump-sum payments (Items 3, 4, 5, and 6) shall be payable in two installments: fifty percent (50%) upon commencement of the specific service and fifty percent (50%) upon satisfactory completion and delivery of the final work product. All payments shall be made in Nepalese Rupees via bank transfer to the Lawyer's designated account at a commercial bank in Kathmandu, Nepal.
- Deliverables and Reporting: The Lawyer shall submit written progress reports to the Buyer's Legal Department, located in Kathmandu, Nepal, on a bi-weekly basis. All legal opinions, drafted documents, and court filings shall be delivered in both Nepali and English languages where applicable.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Lawyer shall return all confidential documents and materials belonging to the Buyer within seven (7) days of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, floods common in Nepal Kathmandu region), government-imposed restrictions, or acts of war, as defined under the Contract Act, 2056 of Nepal.
- Dispute Resolution: In the event of any dispute, the parties shall first attempt to resolve the matter through amicable negotiation in Kathmandu, Nepal. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the Nepal Arbitration Act, 2055 (1999). Failing mediation, the dispute shall be adjudicated by the competent court in Kathmandu, Nepal.
- Compliance with Nepali Regulations: The Lawyer shall ensure that all services rendered under this Purchase Order comply with the regulations of the Nepal Bar Council, the Supreme Court of Nepal, the Office of the Company Registrar, Nepal, and all applicable municipal bylaws of the Kathmandu Metropolitan City.
- Anti-Corruption: The Lawyer warrants that no part of the fees under this Purchase Order shall be used for any corrupt, fraudulent, or illegal purpose in accordance with the Nepal Anti-Corruption Commission Act, 2062 (2005).
This Purchase Order constitutes a formal request for legal services and, upon acceptance by the Lawyer, shall form a binding contractual agreement between the parties. By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Lawyer in Nepal Kathmandu.
