This Purchase Order is issued by Van der Berg & Partners B.V. (hereinafter referred to as the "Buyer") to De Vries & Jansen Advocaten (hereinafter referred to as the "Lawyer" or "Service Provider") for the provision of comprehensive legal advisory and representation services. The Lawyer shall act as the Buyer's retained legal counsel for all matters arising within the jurisdiction of Amsterdam, Netherlands, and shall comply with all applicable Dutch legal regulations, including but not limited to the Besluit op de advocatuur (Advocacy Act) and the professional code of conduct established by the Orde van Advocaten (Bar Association of the Netherlands).
The Lawyer is engaged to provide the following specific services as outlined in this Purchase Order:

The following terms and conditions govern this Purchase Order and the engagement of the Lawyer:
- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam (Rechtbank Amsterdam), located at Prinsengracht 412, 1017 BX Amsterdam, Netherlands.
- Professional Standards: The Lawyer shall perform all services in accordance with the professional standards set forth by the Orde van Advocaten and shall maintain a valid professional liability insurance policy (beroepsaansprakelijkheidsverzekering) with a minimum coverage of €1,000,000 per claim throughout the duration of this Purchase Order.
- Confidentiality: The Lawyer acknowledges that all information received from the Buyer in connection with this Purchase Order is strictly confidential and subject to the attorney-client privilege (advocaatsgeheim) as defined under Article 44 of the Dutch Code of Criminal Procedure (Wetboek van Strafrecht). The Lawyer shall not disclose any such information to third parties without the prior written consent of the Buyer.
- Payment Terms: The Buyer shall settle all invoices issued by the Lawyer within thirty (30) calendar days from the date of receipt of a valid invoice. Payment shall be made via bank transfer to the following account: IBAN NL91 ABNA 0417 1643 00, BIC ABNANL2A, held by De Vries & Jansen Advocaten at ABN AMRO Bank, Amsterdam. Late payments shall accrue interest at the statutory rate as defined in Article 6:119 of the Dutch Civil Code.
- Scope and Changes: Any modification to the scope of services described in this Purchase Order must be agreed upon in writing by both parties. The Buyer reserves the right to request a revised Purchase Order for additional legal services beyond the hours and tasks specified herein.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination. The Lawyer shall return all documents and files belonging to the Buyer within fourteen (14) days of termination.
- Compliance with Amsterdam Municipal Regulations: The Lawyer shall ensure that all legal filings, registrations, and notifications required under the municipal regulations of the City of Amsterdam (Gemeente Amsterdam) are submitted in a timely manner and in the correct format as prescribed by the relevant municipal authority.
This Purchase Order constitutes a formal request for the provision of legal services as described herein. By signing below, the Buyer authorizes the Lawyer to commence the engagement upon receipt of this Purchase Order. The Lawyer's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of receipt.
