This Purchase Order is issued by Harbourview Commercial Holdings Limited (hereinafter referred to as the "Buyer") to Te Awa Kairi Legal Partners (hereinafter referred to as the "Lawyer" or "Legal Services Provider") for the provision of comprehensive legal services in Auckland, New Zealand. The Lawyer shall act as the Buyer's retained legal counsel for the matters described below. All services shall be rendered in accordance with the laws of New Zealand, including but not limited to the Legal Services Act 2007, the Law Society Rules, and the Consumer Guarantees Act 1993 as applicable to professional services in the Auckland region.

All amounts stated in this Purchase Order are in New Zealand Dollars (NZD). Payment shall be made by direct bank transfer to the Lawyer's nominated account at ANZ Bank, Auckland, New Zealand. The Buyer shall pay the total amount of NZD $64,000.00 in accordance with the following schedule:
- 30% deposit (NZD $19,200.00) due upon execution and acceptance of this Purchase Order by both parties.
- 40% progress payment (NZD $25,600.00) due upon completion of Items 01, 02, and 03 as verified by the Buyer's CFO.
- 30% final payment (NZD $19,200.00) due within fourteen (14) calendar days of the Lawyer's final invoice and delivery of all completed legal work product.
Late payments shall attract interest at the rate prescribed under the Interest on Debts Act 1977 (New Zealand), calculated daily from the due date until the date of actual payment.
- Governing Law and Jurisdiction: This Purchase Order and all legal services rendered hereunder shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Auckland, New Zealand, or such other court as may be appropriate under New Zealand law.
- Professional Standards: The Lawyer shall perform all services in accordance with the professional standards and ethical obligations set out in the Legal Services Act 2007 (New Zealand) and the rules of the New Zealand Law Society. The Lawyer warrants that all work shall be performed with the skill, care, and diligence expected of a reasonably competent solicitor practising in Auckland, New Zealand.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and communications received from the Buyer in connection with this Purchase Order. This obligation shall survive the termination or expiry of this Purchase Order for a period of no less than seven (7) years, in compliance with New Zealand privacy legislation, including the Privacy Act 2020.
- Conflict of Interest: The Lawyer warrants that, at the time of accepting this Purchase Order, there exists no conflict of interest that would impair the Lawyer's ability to act for the Buyer in Auckland, New Zealand. The Lawyer shall notify the Buyer in writing within two (2) business days should any potential conflict arise during the engagement.
- Insurance: The Lawyer shall maintain professional indemnity insurance with a minimum cover of NZD $5,000,000 per claim, as required by the New Zealand Law Society, for the full duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer upon request.
- Intellectual Property of Work Product: All legal opinions, memoranda, drafts, and other work product created by the Lawyer specifically for the Buyer under this Purchase Order shall be the sole property of the Buyer upon full payment. The Lawyer shall not reuse, publish, or disclose such work product to any third party without the Buyer's prior written consent.
- Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice to the other party. Upon termination, the Buyer shall pay for all legal services reasonably rendered up to the date of termination. The Lawyer shall return all Buyer documents and files to the Buyer within seven (7) business days of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters affecting Auckland, New Zealand (such as earthquakes, volcanic activity, or severe flooding), government-imposed restrictions, or acts of war.
- Compliance with New Zealand Legislation: The Lawyer shall ensure that all services rendered comply with all applicable New Zealand legislation, including the Companies Act 2013, the Employment Relations Act 2000, the Resource Management Act 1991 (where relevant to Auckland land matters), and the Privacy Act 2020.
- Entire Agreement: This Purchase Order, together with any written amendments signed by both parties, constitutes the entire agreement between the Buyer and the Lawyer regarding the legal services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in Auckland, New Zealand.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of legal services set out in this Purchase Order. This Purchase Order is valid for a period of ninety (90) days from the date of issue, after which it shall lapse unless renewed in writing by both parties.
