All services rendered under this Purchase Order shall be performed in strict compliance with the New Zealand Lawyers and Conveyancers Act 2006 and the Code of Conduct for Lawyers issued under that Act.

This Purchase Order authorises the engagement of the above-named Lawyer to provide comprehensive legal advisory and representation services to Harbourview Holdings Limited in connection with the proposed commercial property acquisition and associated lease negotiations situated in the Wellington Central business district.   1. Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of New Zealand sitting in Wellington.
  2. Professional Standards: The Lawyer shall perform all duties with the skill, care, and diligence expected of a reasonably competent legal practitioner in New Zealand Wellington, in accordance with the New Zealand Lawyers and Conveyancers Act 2006 and the applicable Code of Conduct.
  3. Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and communications received in the course of this engagement, in accordance with the professional duty of confidentiality and the New Zealand Privacy Act 2020.
  4. Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise in the performance of the services described in this Purchase Order. The Lawyer shall immediately notify the Buyer in writing should any potential conflict emerge.
  5. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the date of invoice. Late payments shall attract interest at the rate prescribed under the New Zealand Interest on Debts Act 1997.
  6. Disbursements and Expenses: All out-of-pocket expenses, including court filing fees, LINZ registration charges, and travel within the Wellington metropolitan area, shall be itemised separately on the invoice and reimbursed at cost.
  7. Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. Upon termination, the Buyer shall be liable for all services rendered and expenses incurred up to the date of termination.
  8. Insurance: The Lawyer shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 per claim, as required by the Law Society of New Zealand, and shall provide a certificate of insurance upon request.
  9. Intellectual Property: All legal opinions, memoranda, and documents prepared specifically for the Buyer under this Purchase Order shall be the property of the Buyer upon full payment.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters affecting the Wellington region, government-imposed restrictions, or acts of God.

This Purchase Order is issued as a formal request for the provision of legal services and constitutes a binding commitment upon acceptance by the Lawyer. By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this document. This Purchase Order is valid only for the period stated above and may not be assigned or transferred without the prior written consent of both parties.
