This Purchase Order is issued by Adeniji & Associates Legal Practice Ltd. (hereinafter referred to as the "Purchasing Entity") to engage the services of the above-named Lawyer, Mr. Chukwuemeka O. Nwosu, Esq., for the provision of specialized legal counsel and representation in the Nigeria Lagos jurisdiction. The scope of engagement is as follows:

All amounts are stated in Nigerian Naira (NGN). The Lawyer shall submit itemized invoices monthly, and all payments shall be made via bank transfer to the account designated by Nwosu & Partners Legal Chambers, First Bank of Nigeria, Ikeja Branch, Lagos, Account No. 0123456789.
3.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria, with specific reference to the legal and regulatory framework applicable in Nigeria Lagos, including the Lagos State High Court Law, the Legal Practitioners Act, and the Rules of Professional Conduct for Legal Practitioners.
3.2 The Lawyer shall maintain strict professional confidentiality in accordance with the Legal Profession Act (Cap L12, LFN 2004) and shall not disclose any information pertaining to the Purchasing Entity's affairs to any third party without prior written consent.
3.3 The Lawyer shall devote adequate time and professional attention to the matters outlined in this Purchase Order and shall not engage in any conflict of interest that may compromise the Purchasing Entity's legal position in Nigeria Lagos.
3.4 Payment terms: 50% of the total engagement fee shall be payable upon execution of this Purchase Order, and the remaining 50% shall be payable in equal monthly installments over the duration of the engagement. The monthly retainer (Item 05) shall be invoiced on the 1st of each month and payable within 14 days of invoice receipt.
3.5 The Lawyer shall provide written progress reports to the Purchasing Entity on the 25th of each month detailing all legal actions taken, court appearances, and pending matters in Nigeria Lagos.
3.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the date of termination, and all work-in-progress shall be handed over to the Purchasing Entity or its successor counsel.
3.7 Any disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration being Nigeria Lagos.
This Purchase Order is issued under the authority of the Board of Directors of Adeniji & Associates Legal Practice Ltd. and constitutes a binding commitment to procure the legal services of the named Lawyer as described herein. The Lawyer's acceptance of this Purchase Order shall be evidenced by the countersignature below and the execution of a separate Professional Services Agreement.
