- Scope and Jurisdiction: The Lawyer engaged under this Purchase Order shall provide all legal services exclusively within the jurisdiction of Pakistan Islamabad, including the Federal Capital Territory, Islamabad High Court, and all subordinate courts and tribunals located in Islamabad. Any matter requiring representation outside Islamabad shall be subject to a separate written amendment to this Purchase Order.
- Professional Standards: The Lawyer shall adhere to the Code of Professional Conduct and Ethics as prescribed by the Islamabad Bar Council and the Supreme Court of Pakistan. All work product shall meet the standards expected of a qualified Advocate of the High Court of Islamabad.
- Confidentiality: The Lawyer and all associates at the firm shall maintain strict confidentiality regarding all information, documents, and strategies disclosed by the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the legal professional privilege recognized under Pakistani law.
- Payment Schedule: Invoices shall be submitted monthly by the 5th of each month for retainer services. Lump-sum payments for litigation and one-time engagements shall be due within thirty (30) days of invoice receipt. All payments shall be made via bank transfer to the firm's designated account at National Bank of Pakistan, Islamabad Main Branch. Late payments shall attract interest at the rate of 1.5% per month as per prevailing commercial practice in Pakistan Islamabad.
- Out-of-Pocket Expenses: Court filing fees, stamp duty, travel expenses within Islamabad, and other disbursements incurred by the Lawyer in the performance of this Purchase Order shall be billed separately at actual cost with supporting receipts. No expense exceeding PKR 50,000 in a single instance shall be incurred without prior written approval from the Purchasing Entity.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall deliver all files, drafts, and work product to the Purchasing Entity. Fees for services rendered up to the date of termination shall be payable in full.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved by arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act 1940 of Pakistan. The seat of arbitration shall be Islamabad, and the language of proceedings shall be English. The arbitral award shall be final and binding.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government orders, or court closures in Pakistan Islamabad, provided that the affected party gives prompt written notice.
- Compliance with Law: The Lawyer warrants that all services rendered under this Purchase Order shall comply with the laws of the Islamic Republic of Pakistan, the regulations of the Islamabad Bar Council, and all applicable anti-money laundering and anti-corruption statutes in force in Pakistan Islamabad.
- Entire Agreement: This Purchase Order, together with any written amendments, constitutes the entire agreement between the parties regarding the engagement of the Lawyer for the services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
By signing below, the Purchasing Entity authorizes the expenditure set forth in this Purchase Order and confirms the engagement of the named Lawyer for the legal services described. The Lawyer acknowledges receipt of this Purchase Order and agrees to perform the services in accordance with the terms stated herein and the professional obligations owed to clients in Pakistan Islamabad.
