This Purchase Order is issued by Grupo Andino Corporativo S.A.C., a Peruvian corporation duly registered with the Superintendencia Nacional de Registro Público (SUNARP) in Lima, Peru, to formally engage the professional services of the Lawyer identified above. 2. TERMS AND CONDITIONS
  1. Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Republic of Peru. Any dispute arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Lima, Peru, and the parties irrevocably submit to the authority of the Juzgados Civiles de Lima for all proceedings.
  2. Professional Standards: The Lawyer shall perform all services with the diligence, competence, and ethical conduct required by the Código de Ética del Abogado Peruano and the regulations of the Colegio de Abogados de Lima. The Lawyer warrants that she holds a valid professional license and is in good standing with the Peruvian Bar Association.
  3. Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and trade secrets disclosed by the Purchasing Entity in connection with this Purchase Order, in accordance with Article 139 of the Peruvian Constitution and applicable data protection regulations (Ley Nº 29733).
  4. Payment Schedule: Payment shall be made via bank transfer to the account designated by the Lawyer. Invoices shall be issued in accordance with the regulations of the Superintendencia Nacional de Aduanas y de Administración Tributaria (SUNAT) of Peru. The Purchasing Entity shall remit payment within thirty (30) calendar days of receipt of a valid Peruvian electronic invoice (factura electrónica).
  5. Scope Limitation: The services described herein are limited to the Lima Metropolitan Area and the Callao judicial district. Any services required outside this geographic scope in Peru shall require a written amendment to this Purchase Order.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Purchasing Entity shall pay for all services rendered up to the effective date of termination. The Lawyer shall deliver all work product and files to the Purchasing Entity within fifteen (15) days of termination.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Lima region, government-mandated closures, or judicial system interruptions declared by the Poder Judicial del Perú.
  8. Anti-Corruption: The Lawyer represents and warrants that no part of the compensation under this Purchase Order shall be used to offer, pay, or facilitate any improper payment to any public official in Peru, in compliance with the Peruvian Anti-Corruption Law (Ley Nº 27806).
3. AUTHORIZATION AND ACCEPTANCE

By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of legal services in Lima, Peru, and shall remain in effect until the completion of all services or until terminated in accordance with Section 2, Clause 5.
