TERMS AND CONDITIONS
- Acceptance: This Purchase Order constitutes a formal request for legal services. The Lawyer, Atty. Ricardo M. Dela Cruz, Esq., shall confirm acceptance in writing within five (5) business days from the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Scope of Engagement: The Lawyer shall render all legal services as described in the line items above in accordance with the Rules of Professional Responsibility of the Integrated Bar of the Philippines and applicable Philippine laws. All services shall be performed in or for the benefit of the client's operations in Philippines Manila.
- Payment Terms: Payment shall be made on a Net-30 basis from the date of receipt of a valid Official Receipt (OR) issued by the Lawyer. Payment shall be remitted via bank transfer to the account designated by the Lawyer. All amounts are in Philippine Pesos (PHP) and are subject to 12% Value Added Tax (VAT) as mandated by the Bureau of Internal Revenue, Philippines Manila.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and trade secrets disclosed by Meridian Corporate Solutions, Inc. This obligation shall survive the termination of this Purchase Order by a period of three (3) years.
- Conflict of Interest: The Lawyer warrants that there is no conflict of interest in providing services to the client. The Lawyer shall immediately disclose any potential conflict that may arise during the term of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts in Philippines Manila, Metro Manila.
- Compliance: The Lawyer shall comply with all applicable Philippine laws, regulations, and professional standards, including but not limited to the Philippine Bar Rules, the Code of Ethics for Lawyers, and all SEC, BIR, and DOLE regulations relevant to the services rendered in Philippines Manila.
