- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the State of Qatar, including the Qatar Civil Code, the Qatar Commercial Companies Law, and the Qatar Bar Council Rules of Professional Conduct applicable to the Lawyer and firm.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Lawyer’s firm. All payments shall be transferred via wire transfer to the bank account specified in Section 1. The total Purchase Order value of QAR 109,200 (inclusive of 5% VAT) is non-refundable once services have commenced.
- Scope of Engagement: The Lawyer shall provide all legal services described in Section 2 with the diligence, skill, and professional judgment expected of a qualified attorney practicing in Doha, Qatar. Any services outside the scope of this Purchase Order shall require a written amendment signed by both parties.
- Confidentiality: The Lawyer and all members of the firm shall maintain strict confidentiality regarding all information, documents, and trade secrets disclosed by Al Rayyan Corporate Services LLC in connection with this Purchase Order. This obligation survives termination of the engagement for a period of five (5) years.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. The Lawyer shall immediately notify the company in writing should any potential conflict emerge.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days’ written notice. Upon termination, the company shall pay for all services rendered up to the effective date of termination, and the Lawyer shall deliver all work product and files to the company within fourteen (14) days.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to the Qatar International Arbitration Centre (QIAC) in Doha, and the arbitral award shall be final and binding.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or civil unrest in Qatar Doha or the wider region.
- Compliance with Qatar Regulations: The Lawyer confirms that all services will be performed in full compliance with the Qatar Bar Council’s ethical rules, the Anti-Money Laundering Law (Law No. 30 of 2002), and all applicable regulations of the Qatar Financial Centre Authority where relevant.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of legal services in Qatar Doha between the undersigned parties.
