This Purchase Order is issued by Volga Industrial Holdings LLC (hereinafter referred to as the "Buyer") to formally engage the professional services of Lawyer Andrey V. The Lawyer shall perform the following specific services as outlined in this Purchase Order:

All fees are stated in Russian Rubles (RUB) and are inclusive of applicable Value Added Tax (VAT) at the rate of 20% as prescribed by the Tax Code of the Russian Federation. The Lawyer shall issue a formal invoice (schet) for each service line item upon completion or at the agreed interim milestones.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Lawyer via signed acknowledgment or electronic signature through the Russian Unified Information System in the Field of State and Municipal Services (Gosuslugi) portal within five (5) business days of issuance.
2. Place of Performance: All legal services shall be performed primarily at the offices of Petrov & Associates Law Firm located in Moscow, Russian Federation, or at the Buyer's registered office in Moscow, as mutually agreed in writing. Court appearances shall take place at the relevant Arbitrazh Court of the City of Moscow or other judicial bodies within the Moscow jurisdiction as required.
3. Payment Terms: Payment shall be made via bank transfer to the Lawyer's designated account at Sberbank of Russia, Moscow branch, within fifteen (15) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the key rate of the Central Bank of the Russian Federation.
4. Confidentiality: The Lawyer shall maintain strict confidentiality of all information obtained in the course of performing services under this Purchase Order, in accordance with Article 8 of the Federal Law on Advocacy and Advocacy Activity in the Russian Federation and the professional ethical code of the Moscow Bar Association.
5. Conflict of Interest: The Lawyer warrants that no conflict of interest exists and shall immediately notify the Buyer in writing should any potential conflict arise during the term of this Purchase Order.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination, and the Lawyer shall return any unearned prepayments within ten (10) business days.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved by the Arbitrazh Court of the City of Moscow, Russian Federation, in accordance with the Arbitrazh Procedure Code of the Russian Federation.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to force majeure events as defined under Article 416 of the Civil Code of the Russian Federation, including but not limited to acts of government, natural disasters, or pandemics affecting the Moscow region.
9. Language: This Purchase Order is executed in the English language. In the event of any discrepancy between the English version and a Russian-language translation, the Russian-language version shall prevail for purposes of enforcement before courts in Moscow, Russia.

This Purchase Order is issued and authorized by the undersigned representatives of both parties. The Lawyer's acceptance of this Purchase Order constitutes a binding contractual obligation to render the legal services described herein in Moscow, Russia, under the terms set forth above.
