This Purchase Order is issued by Al-Nakheel Industrial & Trading Co. • Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the first six months of service, and 25% upon final delivery and acceptance of all legal work.
• All payments shall be transferred via bank wire to the designated account of the Lawyer's firm at Al Rajhi Bank, Jeddah Branch, IBAN: SA03 8000 0000 6080 1016 7519.
• Invoices must be submitted no later than the 5th business day of the following month. Payment is due within 30 calendar days of invoice receipt.
• Late payments shall attract a penalty of 1.5% per month as per Saudi commercial law provisions.

• This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Civil Transactions Law and the Saudi Commercial Law.
• The Lawyer and all associated legal professionals engaged under this order must hold valid licenses issued by the Saudi Ministry of Justice and be registered with the Saudi Bar Association.
• All legal services shall be performed in the jurisdiction of Saudi Arabia Jeddah, and any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the Commercial Courts in Jeddah.
• The Lawyer shall maintain strict confidentiality regarding all client information, trade secrets, and business strategies disclosed during the course of this engagement, in compliance with Saudi data protection regulations.
• The Service Provider shall not engage in any conflict of interest that may compromise the independence or objectivity of the legal advice provided to the Purchasing Party.
• Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Purchasing Party shall be liable only for services rendered up to the date of termination.
• The Lawyer shall provide a written progress report to the Purchasing Party on the 1st of every month detailing all legal matters handled, court appearances, and pending actions.
• All deliverables, including legal opinions, drafted contracts, and court filings, shall be provided in both Arabic and English languages.
• This Purchase Order does not create a partnership, joint venture, or employment relationship between the parties. The Lawyer is engaged strictly as an independent professional service provider.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of legal services in Saudi Arabia Jeddah. This document is executed in two (2) original copies, one for each party, and carries equal legal weight.
