2.1 Scope of Engagement. The Lawyer shall provide all legal services described in Section 1 of this Purchase Order exclusively within the geographic and legal jurisdiction of Saudi Arabia Riyadh. All written opinions, legal memoranda, and court filings shall be prepared in accordance with the Saudi Civil Transactions Law, the Saudi Commercial Companies Law, and applicable Sharia principles as interpreted by the Saudi judiciary.

2.2 Professional Qualification. The Buyer confirms that the Lawyer holds a valid practicing license issued by the Saudi Ministry of Justice and is a registered member in good standing of the Saudi Bar Association. The Lawyer warrants that no disciplinary proceedings are pending against him or his firm at the time of this Purchase Order's execution.

2.3 Payment Terms. Payment shall be made in Saudi Riyals (SAR) via bank transfer to the Service Provider's designated account at Al Rajhi Bank, Riyadh Branch. Invoices shall be submitted monthly on or before the 5th business day of the following month. The Buyer shall settle all undisputed invoices within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate of 2% per month, in accordance with Saudi commercial practice.

2.4 Confidentiality and Data Protection. The Lawyer shall maintain strict confidentiality over all documents, trade secrets, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. All data handling shall comply with the Saudi Personal Data Protection Law (PDPL) and SDAIA regulations.

2.5 Conflict of Interest. The Lawyer represents and warrants that no conflict of interest exists or will arise during the term of this Purchase Order. Should a conflict emerge, the Lawyer shall notify the Buyer in writing within five (5) business days and shall recuse himself from the affected matter.

2.6 Termination. Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all Buyer documents and files within fourteen (14) days of termination.

2.7 Dispute Resolution. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the Saudi Center for Commercial Arbitration (SCCA) in Riyadh, Saudi Arabia. The arbitral award shall be final and binding. The governing law of this Purchase Order shall be the laws of the Kingdom of Saudi Arabia.

2.8 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or civil unrest within Saudi Arabia Riyadh. The affected party shall notify the other within seven (7) days of the occurrence.

2.9 Anti-Bribery and Compliance. The Lawyer shall comply with all anti-corruption and anti-bribery laws of the Kingdom of Saudi Arabia, including the Anti-Corruption Authority (Nazaha) regulations. Any violation shall constitute grounds for immediate termination of this Purchase Order without compensation.
