1. Description of Purchase Order and Scope of Legal Services

This Purchase Order is issued by Société Africaine de Développement Commercial S.A. (hereinafter referred to as the "Buyer") to engage the professional services of Maître Fatou Ndiaye, a duly licensed Lawyer at the Barreau de Dakar, for the provision of comprehensive legal counsel and representation in connection with the Buyer's ongoing commercial dispute and corporate restructuring matters. This Purchase Order is governed by the laws of the Republic of Senegal, and all services shall be rendered in and around the city of Senegal Dakar, with the primary office of the Lawyer located in the Mermoz district of Dakar.

The Lawyer engaged under this Purchase Order shall provide the following scope of legal services, all to be performed in accordance with the professional ethics and standards established by the Ordre des Avocats du Barreau de Dakar:

3. Terms and Conditions of the Purchase Order

Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Code de Commerce and the Code de Procédure Civile. Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Dakar, Senegal Dakar.
Professional Qualification of the Lawyer: The Lawyer engaged under this Purchase Order confirms that she is a member in good standing of the Ordre des Avocats du Barreau de Dakar and holds a valid professional license to practice law in the Republic of Senegal. The Lawyer shall maintain her professional liability insurance throughout the duration of this engagement.
Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon execution of this Purchase Order and fifty percent (50%) upon completion of all services or upon final court judgment, whichever occurs first. Payment shall be made via bank transfer to the account of the Lawyer's firm at the Banque Atlantique, Dakar branch.
Confidentiality: The Lawyer shall maintain strict professional secrecy in accordance with Article 66 of the Code de Déontologie des Avocats in Senegal. All documents, strategies, and communications related to this Purchase Order and the underlying legal matters shall remain confidential and shall not be disclosed to any third party without the written consent of the Buyer.
Performance Period: The Lawyer shall render all services contemplated by this Purchase Order within a period not exceeding six (6) months from the date of issue, unless extended by mutual written agreement. All court appearances and filings shall take place at the relevant judicial offices in Senegal Dakar.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the date of termination, and all work product shall be delivered to the Buyer.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest in Senegal Dakar, or government-imposed restrictions affecting the operation of the courts.
Dispute Resolution: In the event of a disagreement regarding the interpretation or execution of this Purchase Order, the parties shall first attempt to resolve the matter through amicable negotiation. Failing resolution within fifteen (15) days, the matter shall be referred to the Tribunal de Commerce de Dakar.

4. Authorizations and Signatures

By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Lawyer in Senegal Dakar. This document constitutes a binding commercial agreement under Senegalese law.
