- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Service Provider upon signature by both parties. All services shall be rendered in accordance with the professional standards expected of a Lawyer admitted to practice in the High Court of South Africa, Cape Town Division.
- The Lawyer and legal team engaged under this Purchase Order shall maintain full professional indemnity insurance in a minimum amount of R 5,000,000.00, as required by the Legal Practice Council of South Africa.
- All legal services shall be performed in strict compliance with the rules of the Law Society of the Western Cape and the Code of Conduct for Legal Practice Managers and Legal Practice Assistants, as applicable in South Africa Cape Town.
- Payment terms: 50% of the total Purchase Order value shall be due upon execution of this document. The remaining 50% shall be invoiced monthly in arrears, with payment due within 14 (fourteen) calendar days of receipt of a valid tax invoice. All amounts are exclusive of Value Added Tax (VAT) at the prevailing rate of 15% as per South African tax law.
- The Lawyer shall provide written progress reports to the Purchasing Entity on the 1st of each month, detailing hours worked, matters advanced, and anticipated costs for the following period.
- Confidentiality: All information, documents, and communications exchanged under this Purchase Order shall be treated as strictly confidential. The Lawyer shall not disclose any client information to third parties without prior written consent, in accordance with the attorney-client privilege recognised in South African law.
- Termination: Either party may terminate this Purchase Order with 30 (thirty) days' written notice. Upon termination, the Purchasing Entity shall be liable for all services rendered and costs incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the High Court of South Africa, Cape Town Division.
- The Lawyer shall not delegate any material obligation under this Purchase Order to a third party without the prior written approval of the Purchasing Entity.
- All work product, including legal opinions, drafted documents, and correspondence, shall become the property of the Purchasing Entity upon full payment of the applicable fees.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Lawyer and legal services in South Africa Cape Town. This document shall be valid for a period of 30 (thirty) days from the date of issue, after which it shall lapse unless renewed in writing.
