• Confidentiality: The Lawyer and all associated personnel shall maintain absolute confidentiality over all information, documents, and strategies disclosed by the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the Spanish Data Protection Act (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR).
• Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. The Lawyer shall immediately notify the Purchasing Entity in writing should any potential conflict emerge.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' prior written notice. In the event of termination, the Purchasing Entity shall be liable for all services rendered and expenses incurred up to the effective date of termination, as per the applicable provisions of the Spanish Civil Code.
• Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, as defined under Article 1105 of the Spanish Civil Code, including but not limited to natural disasters, government actions, or public health emergencies affecting the city of Madrid.
