5. Terms and Conditions

The following terms and conditions shall govern this Purchase Order for the engagement of the Lawyer's professional services in Khartoum, Sudan:

5.1 – This Purchase Order constitutes a binding agreement between the Purchasing Party and the Lawyer upon signature by both parties. The Lawyer acknowledges receipt and acceptance of all obligations herein.

5.2 – The Lawyer shall maintain full professional confidentiality regarding all matters, documents, and information disclosed by the Purchasing Party in connection with this engagement, in accordance with the Sudanese Legal Profession Code of Ethics.

5.3 – All legal services shall be performed in compliance with the laws of the Republic of Sudan, the regulations of the Sudanese Bar Association, and the specific procedural rules of the Khartoum courts and tribunals.

5.4 – The Lawyer shall provide written progress reports to the Purchasing Party on a bi-weekly basis, detailing all actions taken, court appearances made, and anticipated next steps in each matter.

5.5 – Any additional services beyond the scope defined in this Purchase Order shall require a written amendment signed by both parties before execution.

5.6 – Payment shall be made via bank transfer to the account designated by the Lawyer at the National Bank of Sudan, Khartoum Branch. Late payments shall incur a penalty of 2% per month as stipulated under Sudanese commercial law.

5.7 – This Purchase Order is subject to the jurisdiction of the courts of Khartoum, Sudan. Any disputes arising from this engagement shall be resolved through the Khartoum Commercial Court or, at the mutual agreement of both parties, through arbitration under the Sudanese Arbitration Law.
