This Purchase Order is issued by Alpine Corporate Solutions AG (hereinafter referred to as the "Buyer") to formally request and authorize the engagement of a qualified Lawyer and legal counsel firm operating in Switzerland Zurich for the provision of comprehensive legal advisory services. The Lawyer engaged under this Purchase Order shall act in accordance with the Swiss Code of Obligations (OR), the Federal Act on the Free Movement of Lawyers (FFLA), and all applicable cantonal regulations governing the practice of law in the Canton of Zurich.

The scope of services covered by this Purchase Order includes, but is not limited to: corporate governance advisory, contract drafting and review, regulatory compliance assessment under Swiss federal and cantonal law, dispute resolution representation before the Zurich District Court (Bezirksgericht Zürich) and the Zurich Court of Appeal (Obergericht Zürich), and ongoing counsel regarding cross-border commercial transactions involving entities registered in Switzerland Zurich.

Total Estimated Value: CHF 143,750.00 (plus applicable Swiss VAT at 8.1%)

4.1 Governing Law and Jurisdiction. This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Swiss Confederation, with specific reference to the legal framework applicable in Switzerland Zurich. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland. The Lawyer engaged hereunder acknowledges and accepts this jurisdictional clause.

4.2 Payment Terms. Invoices issued by the Lawyer under this Purchase Order shall be payable within thirty (30) calendar days of the date of invoice. Payment shall be made via bank transfer to the account designated by Dr. Elena Voss & Partners, Attorney-at-Law, in Zurich, Switzerland. Late payments shall accrue interest at the statutory rate of 5% per annum as prescribed by Article 104 of the Swiss Code of Obligations.

4.3 Professional Conduct and Confidentiality. The Lawyer shall adhere to the professional code of conduct established by the Zurich Bar Association (Zürich Anwaltskammer) and the Federal Act on the Free Movement of Lawyers. All information disclosed by the Buyer to the Lawyer in the course of this Purchase Order engagement shall be treated as strictly confidential and protected under Swiss attorney-client privilege (Anwaltsgeheimnis, Art. 321 StGB). No information shall be disclosed to third parties without the prior written consent of the Buyer, except as required by Swiss law or court order.

4.4 Conflict of Interest. The Lawyer warrants that, at the time of acceptance of this Purchase Order, no conflict of interest exists between the Buyer and any other client of Dr. Elena Voss & Partners in Switzerland Zurich. The Lawyer shall notify the Buyer in writing within five (5) business days should any potential conflict of interest arise during the term of this engagement.

4.5 Term and Termination. This Purchase Order shall remain in effect for a period of twelve (12) months from the date of acceptance, unless terminated earlier by either party upon thirty (30) days' written notice. Termination shall not affect obligations accrued prior to the effective date of termination, including outstanding invoices issued by the Lawyer.

4.6 Insurance and Liability. The Lawyer shall maintain professional indemnity insurance (Berufshaftpflichtversicherung) with a minimum coverage of CHF 1,000,000 per claim, as required by the Zurich Bar Association. The Lawyer shall provide a certificate of insurance upon request by the Buyer.

By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and accepted in full. The Lawyer confirms availability to perform the services described herein in Switzerland Zurich in accordance with all applicable Swiss legal and professional standards.
