- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, including the Law of Contract Act, Cap. 345 R.E. 2002, and all applicable regulations in force in Tanzania Dar es Salaam.
- Professional Standards: The Lawyer (Adv. Grace Mwakalinga and the firm Mwakalinga & Associates Advocates) shall perform all legal services in strict accordance with the Advocates Act, Cap. 266 R.E. 2002, the Rules of Professional Conduct of the Law Society of Tanzania, and the ethical standards prescribed by the Judiciary and Legal Services Commission.
- Confidentiality: The Lawyer shall maintain absolute confidentiality over all documents, trade secrets, and proprietary information of the Purchaser in accordance with Section 12 of the Advocates Act and the attorney-client privilege recognized under Tanzanian law.
- Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Lawyer's firm. Payment shall be via bank transfer to the firm's designated account at CRDB Bank, Dar es Salaam Branch. All amounts are denominated in Tanzanian Shillings (TZS).
- Scope Limitation: This Purchase Order covers only the legal services explicitly enumerated in Section 2. Any additional legal work, emergency court appearances, or out-of-pocket expenses (court filing fees, travel within Tanzania Dar es Salaam, expert witness fees) shall require a written amendment to this Purchase Order signed by both parties.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to mediation under the Mediation Act, 2020 of Tanzania. Failing resolution within sixty (60) days, the matter shall be referred to the Commercial Court of the High Court of Tanzania, Dar es Salaam, which shall have exclusive jurisdiction.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all legal services rendered up to the effective date of termination, and all work-in-progress shall be handed over to the Purchaser.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Tanzania Dar es Salaam or elsewhere in Tanzania.
- Compliance: The Lawyer warrants that all services shall comply with the Anti-Money Laundering Act, 2007, the Prevention and Combating of Corruption Act, 2007, and all applicable Tanzanian regulatory requirements.
- Notices: All formal notices under this Purchase Order shall be delivered in writing to the addresses stated in Section 1, by registered post, courier, or email with confirmed receipt, to the respective offices in Tanzania Dar es Salaam.
