1. Scope of Engagement: This Purchase Order authorizes the named Lawyer and the firm of Chaiyaporn Legal Counsel Co., Ltd. to render the legal services described in the line items above. Any additional services beyond the scope of this Purchase Order shall require a written amendment signed by both parties prior to commencement.
2. Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangkok, Thailand, or alternatively, may be referred to the Thai Arbitration Institute (TAI) in Bangkok for binding arbitration.
3. Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice (Fap Khong Thung) issued by the Lawyer's firm. Payment shall be made via bank transfer to the account designated by Chaiwattana Legal Counsel Co., Ltd. No interest shall accrue on payments made within the stipulated period.
4. Confidentiality: The Lawyer and all associated legal staff shall maintain strict confidentiality over all information, documents, and trade secrets disclosed by Siriwattana Trading Co., Ltd. in connection with this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Professional Indemnity: The Lawyer shall maintain professional indemnity insurance with a minimum coverage of THB 10,000,000 for the duration of this engagement. A certificate of insurance shall be provided upon request.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and all work product shall be delivered to the client.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government orders, or civil unrest in Thailand Bangkok or elsewhere in Thailand.
8. Anti-Corruption: The Lawyer warrants that no part of the fees under this Purchase Order shall be used for any corrupt, illegal, or improper payment to any government official or third party in Thailand or any other jurisdiction.
