This Purchase Order is issued by Al Noor Trading & Logistics FZE to formally engage the services of a qualified and licensed Lawyer, Adv. Fatima Al Zahra of Al Rashid & Partners Legal Consultants LLC, to provide comprehensive legal counsel and representation in the United Arab Emirates Dubai. The scope of work under this Purchase Order encompasses the following professional legal services:

1. Engagement of the Lawyer: The Lawyer identified in this Purchase Order shall act as the sole legal representative of the Buyer for all matters described herein. Any delegation of tasks to associate attorneys or paralegals within the firm must be pre-approved in writing by the Buyer's authorized signatory.
2. Professional Standards: The Lawyer shall perform all services in strict accordance with the UAE Federal Law No. 23 of 1991 on the Organization of the Legal Profession, the DIFC Legal Profession Regulations, and the ethical code of conduct of the Dubai Legal Affairs Department.
3. Confidentiality: All information, documents, and communications exchanged under this Purchase Order shall be treated as strictly confidential. The Lawyer shall not disclose any proprietary business information of the Buyer to any third party without prior written consent, in compliance with UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
4. Payment Schedule: An initial payment of AED 112,500.00 (50%) shall be remitted via bank transfer to the firm's designated account within five (5) business days of the execution of this Purchase Order. The remaining balance of AED 112,500.00 (50%) shall be due within ten (10) business days following the Buyer's written acceptance of all final deliverables.
5. Expenses and Court Fees: All court filing fees, government registration charges, notary fees, and third-party expert witness costs incurred in the United Arab Emirates Dubai shall be billed separately at actual cost with supporting receipts and are not included in the hourly rates stated above.
6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered and expenses incurred up to the date of termination.
7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The seat of arbitration shall be Dubai, United Arab Emirates, and the language of arbitration shall be English.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or changes in UAE or Dubai legislation.
9. Validity: This Purchase Order shall remain valid for a period of one hundred and twenty (120) days from the date of issue unless extended in writing by both parties.
