This Purchase Order is issued by Northbridge Industrial Holdings Ltd (hereinafter referred to as the "Purchasing Party") to Ashworth & Pemberton Solicitors LLP (hereinafter referred to as the "Lawyer" or "Legal Services Provider") for the provision of comprehensive legal advisory and representation services. This Purchase Order governs the engagement of the Lawyer based in Manchester, United Kingdom, to act on behalf of the Purchasing Party in matters relating to commercial contract negotiation, employment law compliance, and regulatory advisory within the jurisdiction of England and Wales.
The Lawyer shall provide all services in accordance with the Solicitors Regulation Authority (SRA) rules and professional conduct standards applicable in the United Kingdom. All work performed under this Purchase Order shall be conducted from the Lawyer's offices located in Manchester, United Kingdom, unless otherwise agreed in writing by both parties.

- 3.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Lawyer upon signature by both parties. The terms herein shall be governed by and construed in accordance with the laws of England and Wales, applicable in the United Kingdom.
- 3.2 The Lawyer warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a reasonably competent solicitor practising in Manchester, United Kingdom, in accordance with the SRA Standards and Regulations.
- 3.3 The Lawyer shall maintain professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order and shall provide evidence of such insurance upon request.
- 3.4 All time spent by the Lawyer and their associates shall be recorded in detail and submitted to the Purchasing Party on a monthly basis. The Purchasing Party reserves the right to review and query any time entries prior to payment.
- 3.5 The Lawyer shall not assign or subcontract any portion of the work described in this Purchase Order without the prior written consent of the Purchasing Party.
- 3.6 Confidentiality: The Lawyer shall treat all information received in connection with this Purchase Order as strictly confidential and shall not disclose it to any third party without express written permission, in accordance with the Solicitors' Rules on client confidentiality.
- 3.7 The engagement period under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 3.9.
- 3.8 Any additional services beyond the scope outlined in Section 2 of this Purchase Order shall require a written variation order signed by both parties before work commences.
- 3.9 Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Purchasing Party shall be liable for all services rendered up to the date of termination.
- 3.10 Disputes arising from or in connection with this Purchase Order shall be resolved by mediation in Manchester, United Kingdom, before either party may commence court proceedings in the courts of England and Wales.
Payment for services rendered under this Purchase Order shall be made by direct bank transfer to the Lawyer's designated account within thirty (30) days of receipt of a valid invoice. Invoices shall be issued monthly in arrears and shall include a detailed breakdown of time spent, the rate applied, and any disbursements or third-party costs incurred on behalf of the Purchasing Party. Late payment shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable in the United Kingdom.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by the terms and conditions set out in this Purchase Order. This Purchase Order is valid only when signed and dated by an authorised representative of each party.
