This Purchase Order governs the procurement of professional legal services to be rendered in Miami, United States, specifically within the jurisdiction of Miami-Dade County, Florida. The engagement covers corporate governance advisory, real estate transaction structuring, commercial contract negotiation, and potential litigation support related to the Buyer's development portfolio in the Miami metropolitan area.

- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Miami, Florida, United States.
- Payment Terms: The Buyer shall remit payment within thirty (30) days of receipt of an itemized invoice from the Provider. Hourly billing shall be submitted on a monthly basis. The monthly retainer fee shall be due on the first business day of each calendar month. All payments shall be made in United States Dollars (USD) via wire transfer to the Provider's designated bank account in Miami, Florida.
- Scope Limitation: The Lawyer engaged under this Purchase Order shall limit all legal advice and representation to matters arising within the State of Florida, United States, unless a separate written amendment to this Purchase Order is executed by both parties authorizing out-of-jurisdiction work.
- Confidentiality: The Provider and the assigned Lawyer shall maintain strict confidentiality regarding all proprietary business information, trade secrets, and financial data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Conflict of Interest: The Provider warrants that neither the firm nor the assigned Lawyer has any existing or potential conflict of interest with the Buyer or its subsidiaries. The Lawyer shall immediately disclose any newly arising conflict in writing.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Buyer shall be liable for all services rendered and expenses incurred up to the effective date of termination. The Provider shall return all Buyer documents and files within ten (10) business days.
- Professional Standards: The Lawyer shall perform all services in accordance with the Rules of Professional Conduct of The Florida Bar and applicable United States federal law. The Provider shall maintain adequate professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
- Expenses: Out-of-pocket expenses including court filing fees, expedited document retrieval, travel within the Miami metropolitan area, and third-party expert witness fees shall be billed at cost with supporting documentation, subject to prior written approval by the Buyer for any single expense exceeding $1,000.00.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Miami, United States area, acts of government, or pandemics, provided that the affected party gives prompt written notice.
- Entire Agreement: This Purchase Order, together with any executed engagement letter between the parties, constitutes the entire agreement regarding the procurement of legal services and supersedes all prior negotiations, representations, or agreements.
All services under this Purchase Order shall be performed primarily at the Provider's office located at 300 South Biscayne Boulevard, Suite 1800, Miami, Florida 33131, United States, or at the Buyer's premises in Miami, Florida, as mutually agreed upon. Court appearances and government filings shall take place at the appropriate venues within Miami-Dade County, Florida, United States, or as otherwise required by the applicable court or regulatory body.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. This Purchase Order becomes effective upon execution by both parties.
