This Purchase Order is issued by Meridian Capital Holdings, LLC (hereinafter referred to as the "Buyer") to engage the services of the above-named Lawyer, Hon. Margaret E. - Scope of Engagement: The Lawyer shall provide all legal services described in this Purchase Order exclusively within the jurisdiction of United States New York City, unless otherwise agreed in writing by both parties. The Lawyer shall maintain active standing in good standing with the New York State Bar Association throughout the term of this Purchase Order.
- Professional Standards: The Lawyer shall perform all duties with the competence, diligence, and ethical conduct required under the New York Rules of Professional Conduct (22 NYCRR Part 1200) and the American Bar Association Model Rules of Professional Conduct as adopted in New York.
- Confidentiality: All information, documents, and communications exchanged under this Purchase Order shall be treated as strictly confidential and privileged. The Lawyer shall not disclose any client information to third parties except as required by law or court order in United States New York City.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month, consistent with New York State commercial law.
- Expense Reimbursement: The Lawyer shall itemize all out-of-pocket expenses (filing fees, courier services, expert witness fees, travel within United States New York City) separately from professional fees. No expense exceeding $500.00 shall be incurred without prior written authorization from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Lawyer shall deliver all work product and files to the Buyer within ten (10) business days and shall be compensated for all services rendered through the effective date of termination.
- Dispute Resolution: Any dispute arising from or relating to this Purchase Order shall be resolved through binding arbitration administered by the American Arbitration Association in New York, NY, United States New York City, in accordance with its Commercial Arbitration Rules. The arbitrator shall be a licensed New York attorney with a minimum of fifteen (15) years of experience.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the local ordinances of United States New York City, without regard to conflict-of-law principles.
- Insurance: The Lawyer shall maintain professional liability (legal malpractice) insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in the aggregate, naming the Buyer as an additional insured. A certificate of insurance shall be provided prior to commencement of services.
- Compliance: The Lawyer warrants that all services rendered under this Purchase Order shall comply with all applicable federal, state, and municipal laws, including but not limited to the New York City Administrative Code and the New York State Uniform Commercial Code.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order. The Buyer authorizes the Lawyer to commence the legal services described herein, and the Lawyer accepts the engagement and agrees to perform all obligations in full compliance with the standards of the legal profession in United States New York City.
