This Purchase Order is issued by Pacific Meridian Technologies, Inc. (hereinafter referred to as the "Buyer") to engage the services of Jonathan R. Whitfield, Esq. (hereinafter referred to as the "Lawyer") for the provision of comprehensive legal counsel and representation. The Lawyer shall render professional legal services in accordance with the standards established by the State Bar of California and the Rules of Professional Conduct of the State of California. All services shall be performed primarily at the Lawyer's office located in San Francisco, United States, or at such other location within the San Francisco Bay Area as mutually agreed upon in writing.

- Payment Schedule: The Buyer shall remit payment to the Lawyer in accordance with the following schedule: twenty-five percent (25%) upon execution of this Purchase Order, fifty percent (50%) upon completion of Items 001 through 003, and the remaining twenty-five percent (25%) upon final delivery of all services described herein. All payments shall be made in United States Dollars via wire transfer to the account designated by the Lawyer.
- Invoicing: The Lawyer shall submit detailed invoices to the Buyer no later than the fifteenth (15th) day of each calendar month, itemizing all hours worked, tasks performed, and any out-of-pocket expenses incurred in the performance of services in San Francisco, United States.
- Late Payment: Any payment not received within thirty (30) days of the invoice date shall accrue interest at the rate of one and one-half percent (1.5%) per month, in compliance with California Commercial Code Section 3303.
- Expenses: All court filing fees, expedited service charges, travel expenses within the San Francisco Bay Area, and third-party research costs shall be billed at actual cost with supporting documentation, subject to prior written approval by the Buyer for any single expense exceeding five hundred dollars ($500.00).
- Confidentiality: The Lawyer shall maintain strict confidentiality of all information obtained in the course of this engagement, in accordance with California Evidence Code Section 954 and the attorney-client privilege as recognized under the laws of the United States and the State of California.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay the Lawyer for all services rendered and expenses incurred through the effective date of termination.
- Dispute Resolution: Any dispute arising from or relating to this Purchase Order shall be resolved through binding arbitration administered by the American Arbitration Association in San Francisco, California, United States, in accordance with its Commercial Arbitration Rules. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction in the State of California.
- Professional Responsibility: The Lawyer warrants that he is duly licensed and in good standing with the State Bar of California, holds active malpractice insurance with a minimum coverage of two million dollars ($2,000,000), and shall perform all services with the competence, diligence, and ethical conduct required by the California Rules of Professional Conduct.
By signing below, the Buyer authorizes the issuance of this Purchase Order for the legal services described herein, and the Lawyer acknowledges acceptance of the engagement terms, scope of work, and compensation structure set forth in this document. This Purchase Order constitutes a binding agreement between the parties and shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.
