This Purchase Order is issued by Grupo Empresarial Andino C.A. (hereinafter referred to as the "Buyer") to formally engage the services of Abg. María Elena Rodríguez Paredes (hereinafter referred to as the "Lawyer" or "Service Provider") for the provision of comprehensive legal counsel, corporate advisory, and litigation support services. The Lawyer shall render all professional legal services in accordance with the laws of the Republic of Venezuela, the regulations of the Colegio de Abogados de Venezuela, and the specific requirements outlined in this Purchase Order. The engagement is to be performed primarily at the offices of the Buyer located in Chacao, Caracas, Venezuela, and at such other locations within the Caracas metropolitan area as may be reasonably required for the execution of the services described herein.

1. Governing Law: This Purchase Order and the engagement of the Lawyer shall be governed by and construed in accordance with the laws of the Republic of Venezuela, including the Código Civil, Código de Comercio, and all applicable regulations of the Colegio de Abogados de Venezuela. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Caracas, Venezuela.
2. Professional Standards: The Lawyer shall perform all services with the highest degree of professional competence, diligence, and ethical conduct as required by the Estatuto del Abogado de Venezuela and the Código de Ética del Abogado. The Lawyer warrants that she holds a valid license to practice law in Venezuela and is in good standing with the Colegio de Abogados de Venezuela.
3. Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and matters disclosed by the Buyer in connection with this Purchase Order. This obligation of confidentiality shall survive the termination of this engagement for a period of five (5) years.
4. Payment Terms: Payment shall be made in two (2) installments: fifty percent (50%) upon execution of this Purchase Order and fifty percent (50%) upon completion of all services. Payment shall be made via bank transfer to the account designated by the Lawyer. In the event of payment in Bolívar Fuerte (VES), the exchange rate shall be the official rate published by the Banco Central de Venezuela (BCV) on the date of payment.
5. Deliverables and Reporting: The Lawyer shall provide written progress reports to the Buyer every fifteen (15) business days detailing the status of all legal matters being handled under this Purchase Order. All court filings, legal opinions, and correspondence shall be delivered to the Buyer's legal department in Caracas within forty-eight (48) hours of their preparation.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination. The Lawyer shall return all confidential documents and materials belonging to the Buyer within ten (10) business days of termination.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, civil unrest, or public health emergencies affecting the Caracas, Venezuela area.
8. Anti-Corruption: The Lawyer represents and warrants that no part of the compensation under this Purchase Order shall be used for any corrupt, illegal, or improper purpose in accordance with Venezuelan anti-corruption legislation.

By signing below, the parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Lawyer's professional services in Venezuela Caracas. The Buyer authorizes the expenditure of funds as specified herein, and the Lawyer accepts the terms, conditions, and scope of work described in this document. This Purchase Order is valid for a period of thirty (30) days from the date of issue, after which it shall expire unless renewed in writing by both parties.
