- Governing Law and Jurisdiction: This Purchase Order and all legal services rendered under it shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code, the Law on Lawyers, the Enterprise Law, and all applicable decrees and circulars issued by the Ministry of Justice of Vietnam. Any disputes arising from this Purchase Order shall be resolved by the competent People's Court in Ho Chi Minh City, Vietnam, unless otherwise agreed in writing by both parties.
- Professional Standards: The Lawyer and the law firm shall perform all services in strict compliance with the Law on Lawyers of Vietnam (Law No. 55/2006/QH12, as amended), the Code of Professional Ethics of the Vietnam Bar Association, and all rules of professional conduct applicable to attorneys practicing in Ho Chi Minh City. The Lawyer shall maintain full professional independence and shall not disclose any confidential information pertaining to the Purchaser.
- Payment Schedule: Payment shall be made in Vietnamese Dong (VND) via bank transfer to the account of Tran & Associates Law Office at Vietcombank, Ho Chi Minh City Branch, Account No. 0091001234567. Invoices shall be issued in accordance with the Law on Tax Administration of Vietnam. Payment is due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Civil Code of Vietnam.
- Delivery and Execution: All legal documents, opinions, and deliverables shall be provided in both Vietnamese and English. Physical copies shall be delivered to the Purchaser's office at Bitexco Financial Tower, District 1, Ho Chi Minh City, or transmitted electronically via secure email. Court appearances and government filings shall be conducted at the relevant offices within Ho Chi Minh City, including the People's Court, the Department of Planning and Investment, and the Intellectual Property Office of Vietnam.
- Confidentiality: The Lawyer acknowledges that all information provided by the Purchaser in connection with this Purchase Order is strictly confidential. The Lawyer shall not disclose, publish, or use such information for any purpose other than the performance of the legal services herein, in accordance with the attorney-client privilege recognized under Vietnamese law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Purchaser shall pay for all legal services rendered up to the date of termination. The Lawyer shall return all documents and materials belonging to the Purchaser within seven (7) business days of the termination notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies affecting operations in Ho Chi Minh City, Vietnam, as defined under Article 351 of the Civil Code of Vietnam.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or modifications shall have no legal effect.
