- Scope of Engagement: The Lawyer and legal team engaged under this Purchase Order shall provide all services exclusively within the jurisdiction of Zimbabwe Harare unless otherwise agreed in writing. All legal opinions, filings, and court appearances shall be conducted in accordance with the laws of the Republic of Zimbabwe, including but not limited to the Legal Practitioners Act [Chapter 20:06], the Companies and Other Business Entities Act [Chapter 24:31], and the Labour Act [Chapter 28:01].
- Professional Standards: The Lawyer shall adhere to the Code of Conduct for Legal Practitioners as prescribed by the Law Society of Zimbabwe. The Lawyer shall maintain professional independence, confidentiality, and the highest standards of ethical practice throughout the duration of this Purchase Order.
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Lawyer's firm. Payment shall be made via electronic funds transfer to the firm's designated bank account in Harare, Zimbabwe. All amounts are stated in United States Dollars (USD) in accordance with the Reserve Bank of Zimbabwe's foreign currency regulations.
- Confidentiality: The Lawyer shall treat all information, documents, and business strategies disclosed by the Buyer in strict confidence. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Any breach of confidentiality shall render the Lawyer liable for damages and disciplinary action before the Law Society of Zimbabwe.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Buyer shall be liable for all services rendered up to the date of termination. The Lawyer shall return all Buyer documents and files within fourteen (14) days of termination.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to mediation in Zimbabwe Harare. If mediation fails within sixty (60) days, the dispute shall be referred to arbitration under the Arbitration Act [Chapter 7:15] of Zimbabwe, with the seat of arbitration in Harare.
- Compliance with Local Regulations: The Lawyer shall ensure that all services comply with the regulations of the Zimbabwe Intellectual Property Office, the Companies and Intellectual Property Commission (CIPC), and all relevant statutory bodies operating in Zimbabwe Harare. The Lawyer shall bear responsibility for any penalties arising from non-compliance attributable to the legal advice provided.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Harare metropolitan area.
- Amendments: This Purchase Order may only be amended by a written addendum signed by both parties. Verbal modifications shall not be enforceable.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services outlined in this Purchase Order. The Buyer confirms that the engagement of the Lawyer is authorised by the Board of Directors of Zimbabwe Industrial Holdings (Pvt) Ltd, and the Seller confirms that the Lawyer and supporting legal team are duly registered with the Law Society of Zimbabwe and hold valid practising certificates for the 2025 calendar year.
