4.1 This Purchase Order constitutes a binding agreement between the Beijing Municipal Library Authority and Capital Knowledge Solutions Ltd. for the provision of Librarian professional services and associated materials within the jurisdiction of China Beijing.
4.2 The Librarian engaged under this Purchase Order must hold a minimum of a Master's degree in Library and Information Science (M.L.I.S.) or equivalent qualification recognized by the Ministry of Education of the People's Republic of China. Fluency in Mandarin Chinese is mandatory; proficiency in English is strongly preferred for international cataloguing standards.
4.3 All physical goods listed in this Purchase Order shall be delivered to the designated China Beijing library facility no later than 20 August 2025. The Librarian professional services shall commence on 01 September 2025.
4.4 Payment shall be processed via bank transfer to the supplier's designated account in China Beijing within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur a penalty of 0.05% per day as stipulated under Chinese commercial law.
4.5 The Librarian shall be subject to the performance evaluation framework established by the Beijing Municipal Library Authority. Failure to meet quarterly KPIs in collection growth, reader satisfaction, and digital migration targets may result in contract termination with thirty (30) days' written notice.
4.6 All intellectual property generated by the Librarian during the term of this Purchase Order, including cataloguing metadata, research guides, and digitized archival materials, shall remain the exclusive property of the Beijing Municipal Library Authority.
4.7 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing.
4.8 The supplier warrants that all equipment and materials delivered under this Purchase Order shall be free from defects and conform to the specifications outlined in Appendix A (attached separately). A warranty period of twenty-four (24) months applies to all hardware items.
