3.1 The Librarian services described in Items 01 and 02 shall be performed exclusively at the designated library premises in China Shanghai. The Senior Librarian shall report directly to the Director of the Shanghai Municipal Public Library Authority and shall adhere to all professional standards set forth by the Chinese Library Association (CLA) and the International Federation of Library Associations (IFLA).

3.2 All goods and software specified in this Purchase Order shall be delivered to the buyer's facility in Pudong New Area, China Shanghai, no later than the dates indicated. Late delivery beyond five (5) business days shall incur a penalty of 0.5% of the affected line item value per day.

3.3 Payment shall be made via bank transfer to the supplier's designated account in China Shanghai within thirty (30) calendar days of receipt of a valid invoice and confirmation of satisfactory delivery or service commencement. The buyer reserves the right to withhold payment for any line item that does not meet the specifications outlined in this Purchase Order.

3.4 The Librarian engagement is subject to a probationary period of three (3) months. During this period, the Shanghai Municipal Public Library Authority may terminate the Librarian contract with fourteen (14) days' written notice without penalty if performance does not meet the agreed-upon service-level objectives.

3.5 All intellectual property, catalog records, and digital archives created by the Librarian during the term of this Purchase Order shall remain the sole property of the Shanghai Municipal Public Library Authority. The Librarian shall sign a non-disclosure and intellectual property assignment agreement prior to commencing duties in China Shanghai.

3.6 This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration by the Shanghai International Arbitration Center (SHIAC) in China Shanghai.

This Purchase Order becomes effective upon signature by both parties. The supplier acknowledges receipt of this Purchase Order and confirms the availability of the Librarian professionals and all associated goods for delivery in China Shanghai as specified.
