5.1. This Purchase Order is governed by the commercial laws of the Republic of Colombia, specifically the Colombian Commercial Code (Código de Comercio) and applicable labor regulations under the Colombian Labor Code (Código Sustantivo del Trabajo, Ley 50 de 1990).

5.2. The Librarian shall commence duties no later than August 1, 2025, at the central library facility located in the El Poblado neighborhood of Medellín. A probationary period of three (3) months shall apply, during which either party may terminate the engagement with fifteen (15) days' written notice.

5.3. Payment shall be made in monthly installments via electronic bank transfer (transferencia electrónica) to the account designated by Profesionales de la Información S.A.S., within fifteen (15) calendar days of receipt of a valid invoice (factura electrónica) compliant with the DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing regulations in Colombia.

5.4. The Librarian is required to maintain confidentiality regarding patron data in accordance with the Colombian Data Protection Law (Ley 1581 de 2012) and the General Data Protection regulations applicable in Medellín and the Antioquia department.

5.5. Any disputes arising from this Purchase Order shall be resolved through the competent labor courts of Medellín, Antioquia, Colombia, or through binding arbitration administered by the Cámara de Comercio de Medellín, at the sole discretion of the Purchasing Entity.

The services described in this Purchase Order shall be delivered and rendered at the Biblioteca Pública Metropolitana de Medellín and its affiliated branches in the Comuna 14 (Laureles-Estadio), Comuna 13 (Doce de Octubre), and Comuna 1 (San Javier) of Medellín. Acceptance of services shall be confirmed in writing by the Director of Library Operations within ten (10) business days of the end of each monthly service period. Failure to issue a written objection within this timeframe shall constitute deemed acceptance of the Librarian's performance for that period.

Either party may cancel this Purchase Order with thirty (30) days' prior written notice. In the event of cancellation by the Purchasing Entity after the probationary period, a penalty equivalent to one month's salary of the Librarian shall be paid. In the event of cancellation by the Supplier, the Supplier shall refund all pre-paid amounts and pay a penalty of 10% of the remaining contract value.
