- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code (Law No. 131 of 1948, as amended) and the Egyptian Public Procurement Law (Law No. 182 of 2018). Any disputes arising from this Purchase Order relating to the Librarian engagement shall be resolved by the competent courts in Cairo, Egypt.
- Commencement & Delivery: The Librarian shall commence professional duties no later than 1 August 2025 at the Cairo Central Library, Tahrir Square. All physical goods (volumes, furniture, equipment) listed in Line Items 04 and 07 shall be delivered to the specified Cairo branch addresses within 45 calendar days of the date of this Purchase Order.
- Librarian Qualifications: The Senior Librarian engaged under this Purchase Order must hold a minimum of a Master's degree in Library and Information Science (LIS) from an accredited Egyptian or internationally recognised university, possess a valid Egyptian professional licence issued by the Egyptian Syndicate of Librarians, and demonstrate a minimum of five (5) years of professional experience in public or academic library operations within Egypt.
- Payment Schedule: Payment shall be made in three (3) equal instalments via bank transfer to the vendor's account at a licensed Egyptian bank in Cairo. The first instalment (33.33%) is due upon signed commencement of the Librarian contract. The second instalment (33.33%) is due upon delivery and acceptance of all physical goods. The final instalment (33.34%) is due upon successful completion of the annual service period, subject to a satisfactory performance review by the CMLA Director.
- Compliance with Egyptian Regulations: The Librarian and all staff engaged under this Purchase Order shall comply with all regulations issued by the Egyptian National Library and Archives Authority (NLA), the Egyptian Ministry of Culture, and the Cairo Governorate's public facility licensing requirements. All library materials acquired must be registered with the Egyptian National Bibliographic Centre in Cairo.
- Confidentiality & Data Protection: The Librarian shall handle all patron records, manuscript data, and institutional information in strict accordance with the Egyptian Personal Data Protection Law (Law No. 151 of 2020). No patron data collected at any Cairo branch shall be transferred outside the territory of Egypt without explicit written authorisation from the CMLA.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Librarian shall complete all outstanding cataloguing and handover duties at the Cairo branches before the effective termination date.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters affecting the Cairo region, government-mandated closures, or national emergencies declared by the Egyptian government.
