- Acceptance: This Purchase Order shall become binding upon written acceptance by the Librarian service provider within ten (10) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Place of Performance: All services described herein shall be performed at the Biblioteca Nazionale di Napoli, Via San Giovanni a Carbonara, 10, 80138 Napoli, Italia. The Librarian shall comply with all site-specific safety and preservation protocols established by the institution.
- Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the IBAN specified by the Librarian within thirty (30) days of receipt of a valid Italian invoice (fattura elettronica) submitted through the SDI (Sistema di Interscambio). The purchasing entity reserves the right to withhold payment pending satisfactory completion of deliverables.
- Intellectual Property: All metadata, catalogues, digitised files, and reports produced by the Librarian under this Purchase Order shall become the exclusive property of the Biblioteca Nazionale di Napoli. The Librarian grants an irrevocable, royalty-free licence for the institution to reproduce and distribute such materials in accordance with Italian copyright law (D.Lgs. 68/2003).
- Confidentiality: The Librarian shall maintain strict confidentiality regarding the contents of the Naples special collections, donor records, and any unpublished manuscripts encountered during the course of this engagement. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Librarian shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale di Napoli, Sezione Civile, located in the city of Naples, Italy.
- Compliance: The Librarian warrants that all services shall be performed in full compliance with Italian data protection regulations (GDPR / Reg. UE 2016/679), the Italian Public Contracts Code, and all applicable municipal bylaws of the Comune di Napoli.
This Purchase Order is issued under the authority of the Procurement Director of the Biblioteca Nazionale di Napoli and is valid for the engagement of the named Librarian in the city of Naples, Italy, for the period and scope described herein.
