- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, specifically the Italian Civil Code (Codice Civile) and the provisions of Legislative Decree No. 50/2016 (Italian Public Contracts Code) as applicable to the procurement of professional services in Rome, Italy.
- Place of Performance: All services described in this Purchase Order shall be performed at the premises of the Biblioteca Nazionale di Roma, Via Angelo Mai 18, 00186 Roma, Lazio, Italy, unless otherwise agreed in writing by both parties.
- Duration: The Librarian services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, subject to renewal by mutual written agreement.
- Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the account designated by the Librarian within thirty (30) days of receipt of a valid invoice. The Librarian shall issue invoices in accordance with Italian fiscal regulations (fattura elettronica) as mandated by the Agenzia delle Entrate.
- Confidentiality: The Librarian shall maintain strict confidentiality regarding all materials, manuscripts, and data encountered during the performance of duties in Rome, Italy. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All digital files, metadata records, and documentation created by the Librarian in the course of this Purchase Order shall become the exclusive property of the Biblioteca Nazionale di Roma.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Librarian shall be compensated for all services rendered up to the effective date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Rome, Italy (Tribunale di Roma), in accordance with Italian procedural law.
- Compliance: The Librarian warrants that all services shall comply with Italian data protection regulations (GDPR as implemented by Italian Legislative Decree 196/2003 and subsequent amendments) and with the standards set forth by the Italian National Archives (Archivio di Stato).
This Purchase Order constitutes a formal and binding request for the Librarian services described herein.
