4.1 Delivery and Commencement
The Librarian shall commence duties at the Japan Kyoto facility no later than 1 July 2025. The vendor, Arashiyama Library Consulting Group K.K., is responsible for all onboarding logistics, including the provision of a dedicated workspace, access credentials to the Foundation's intranet, and orientation to the specific collection protocols of the Kyoto archive.
4.2 Payment Schedule
Payment for this Purchase Order shall be disbursed in three equal installments: 40% upon the Librarian's confirmed start date in Japan Kyoto, 30% upon completion of the six-month midpoint performance review, and the remaining 30% upon successful completion of the full twelve-month engagement period. All payments shall be made via bank transfer to the vendor's designated account in accordance with Japanese commercial payment regulations.
4.3 Performance Standards
The Librarian engaged under this Purchase Order must maintain a minimum public-service availability of 45 hours per week, ensure zero loss or damage to any item in the Japan Kyoto collection during their tenure, and submit a written progress report to the Foundation's Director of Cultural Affairs on the last business day of each month. Failure to meet these standards for two consecutive months shall constitute grounds for early termination of this Purchase Order with a 30-day written notice.
4.4 Intellectual Property and Confidentiality
All digitized materials, catalogue entries, and research findings produced by the Librarian during the term of this Purchase Order shall remain the exclusive property of the Kyoto Municipal Cultural Heritage Foundation. The Librarian is bound by a non-disclosure agreement covering the locations, contents, and security protocols of the Japan Kyoto archive, which shall survive the termination of this engagement for a period of five years.
4.5 Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any dispute arising from or in connection with this Purchase Order, including the performance of the Librarian's duties in Japan Kyoto, shall be resolved through mediation administered by the Kyoto District Court before any litigation is commenced.
4.6 Cancellation and Amendment
Either party may cancel this Purchase Order with a 60-day written notice. Any amendment to the scope of Librarian services, the Japan Kyoto facility location, or the financial terms herein must be executed in writing and signed by both the Foundation's Procurement Officer and the vendor's authorized representative. No verbal modifications to this Purchase Order shall be binding.
Note: This Purchase Order is subject to the Foundation's internal budget approval (Reference: BUD-2025-0312) and the successful completion of the Librarian's background verification and professional credential review by the Japan Library Association.
