4.1 — This Purchase Order constitutes a binding agreement between the Tokyo Metropolitan Library Authority and Shibaura Academic Staffing Co., Ltd. for the provision of Librarian services in Japan Tokyo. All terms herein supersede any prior correspondence or verbal agreements.

4.2 — The Librarian engaged under this Purchase Order must hold a minimum of a Master's degree in Library and Information Science (MLIS) or equivalent qualification recognised by the Japan Library Association. A valid work permit for Japan Tokyo is required prior to commencement.

4.3 — Payment shall be made in Japanese Yen (JPY) via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference Purchase Order number PO-JT-2025-04872.

4.4 — The Librarian shall submit monthly activity reports to the Japan Tokyo branch director, including statistics on circulation, acquisitions, digital resource usage, and community programme attendance. Quarterly performance reviews will be conducted by the procurement office.

4.5 — Early termination of this Purchase Order may be effected by either party with sixty (60) days' written notice. In the event of termination, the Librarian shall complete all outstanding cataloguing tasks and transfer all Japan Tokyo branch records to the successor within the notice period.

4.6 — All intellectual property, cataloguing records, and digital assets created by the Librarian during the term of this Purchase Order shall remain the property of the Tokyo Metropolitan Library Authority and the Japan Tokyo municipal government.

4.7 — Disputes arising from this Purchase Order shall be resolved under the laws of Japan, with jurisdiction vested in the Tokyo District Court, Japan Tokyo.

The Librarian shall report for duty at the Chiyoda Central Branch Library, 2-1-1 Chiyoda, Japan Tokyo 102-0075, on 1 September 2025. The vendor is responsible for arranging the Librarian's initial travel, accommodation for the first two weeks in Japan Tokyo, and completion of all municipal onboarding procedures. All equipment listed in Item 04 shall be delivered and installed no later than 25 August 2025.
