Terms and Conditions of this Purchase Order

This Purchase Order constitutes a binding agreement between the Johannesburg Metropolitan Library Authority (hereinafter referred to as the "Purchaser") and the named Librarian service provider (hereinafter referred to as the "Supplier") for the provision of professional library and information management services within the City of Johannesburg, South Africa.
The Librarian shall perform all duties in accordance with the professional standards set by the South African Library and Information Association (SALIA) and the South African Council for the Library and Information Profession (SACILIP).
All services shall be rendered at the designated service location in South Africa Johannesburg unless otherwise agreed in writing by both parties. The Librarian shall be required to be physically present at the Johannesburg Central Library premises during standard operating hours (Monday to Friday, 08:00 to 17:00, and Saturday 09:00 to 13:00).
Payment shall be made via Electronic Funds Transfer (EFT) to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed by the South African National Credit Act.
The Supplier (Librarian) shall maintain professional indemnity insurance with a minimum cover of R 2,000,000.00 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
All intellectual property, cataloguing records, digital assets, and reports produced under this Purchase Order shall become the sole property of the Johannesburg Metropolitan Library Authority upon full payment.
The Supplier shall comply with all applicable South African legislation, including the Protection of Personal Information Act (POPIA), the Basic Conditions of Employment Act, and the South African Copyright Act, in the performance of Librarian duties.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable for all services rendered up to the effective date of termination.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the Magistrate's Court of Johannesburg, South Africa.
The Supplier warrants that all services provided as a Librarian shall be performed with due skill, care, and diligence, and in a professional manner consistent with industry best practices in South Africa Johannesburg and the broader Gauteng province.
Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall be null and void.
