2. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by the Al-Nil Library & Information Services Center, located in the heart of Sudan Khartoum, to formally authorize and procure the professional services of a qualified Librarian for a twelve (12) month contract period. The Librarian engaged under this Purchase Order shall be responsible for the comprehensive management, cataloguing, digitization, and public service delivery of the library's collections, which serve the academic and general public communities of Sudan Khartoum. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Librarian services in accordance with the terms, conditions, and specifications outlined herein.

5. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the Republic of the Sudan and shall be interpreted in accordance with the commercial and labor regulations applicable in Sudan Khartoum.
- The Librarian engaged under this Purchase Order shall commence duties no later than 1 August 2025 at the Al-Nil Library premises in Sudan Khartoum. Failure to commence within 14 days of the start date shall constitute a material breach of this Purchase Order.
- Payment shall be made in monthly installments of SDG 107,201.25 (Grand Total divided by 12) via bank transfer to the Supplier's designated account at a licensed commercial bank in Khartoum, Sudan. Payment is due within 30 days of the end of each calendar month.
- The Librarian shall adhere to the professional code of conduct established by the Sudanese Library Association and shall maintain the highest standards of confidentiality regarding patron records and institutional data within Sudan Khartoum.
- The Supplier warrants that the Librarian shall hold a minimum of a Bachelor's degree in Library and Information Science (LIS) from an accredited institution, and shall provide proof of qualifications prior to the commencement of services.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall ensure a smooth transition of all Librarian duties and handover of all materials, records, and digital assets to the Buyer's designated successor in Sudan Khartoum.
- All intellectual property, catalogues, digitized records, and community program materials created by the Librarian during the term of this Purchase Order shall remain the exclusive property of the Al-Nil Library & Information Services Center, Sudan Khartoum.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the competent commercial court in Khartoum, Sudan.
- This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of commencement, unless renewed in writing by both parties prior to expiry.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of Librarian services in Sudan Khartoum.
