- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Librarian professional services and associated equipment in Tanzania Dar es Salaam. Both parties agree to be bound by the terms set forth herein and by the applicable laws of the United Republic of Tanzania.
- The Supplier shall ensure that all Librarian personnel assigned to the Dar es Salaam facility possess valid professional certifications issued by the Tanzania Library and Information Association (TLIA) or an equivalent recognised body. Copies of all qualifications and professional registrations must be submitted to the Buyer prior to the commencement of services.
- Services shall commence on 1 August 2025 at the Dar es Salaam Municipal Library & Information Centre, Samora Avenue, Kariakoo, Dar es Salaam, Tanzania. The contract period shall be twelve (12) months, renewable upon mutual written agreement of both parties.
- Payment shall be made in Tanzanian Shillings (TZS) via bank transfer to the Supplier's designated account at a commercial bank operating in Dar es Salaam. Invoices must be submitted monthly by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice.
- The Supplier shall comply with all labour laws of Tanzania, including the Employment and Labour Relations Act, Cap. 204, and shall provide all statutory benefits, including National Social Security Fund (NSSF) contributions and PAYE tax deductions, for all Librarian staff engaged under this Purchase Order.
- All equipment supplied under this Purchase Order must be delivered, installed, and made operational at the Tanzania Dar es Salaam facility within fourteen (14) calendar days of the contract commencement date. The Supplier bears all costs of transportation, customs clearance (if applicable), and installation within Dar es Salaam.
- The Supplier shall maintain professional indemnity insurance with a minimum cover of TZS 50,000,000 for the duration of this Purchase Order. A certificate of insurance must be provided to the Buyer before the commencement of any Librarian services.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Librarian services rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
- All disputes arising from this Purchase Order shall be resolved through mediation in Dar es Salaam, Tanzania, in accordance with the Mediation Act of Tanzania. Should mediation fail, the matter shall be referred to the Commercial Court of Dar es Salaam.
- The Supplier shall not subcontract any portion of the Librarian services without the prior written consent of the Buyer. Any approved subcontractor must meet the same qualification and compliance standards as set out in this Purchase Order.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the United Republic of Tanzania. The venue for any legal proceedings shall be the courts of Dar es Salaam, Tanzania.
