3. Description of Purchase Order Items

This Purchase Order is issued by the Siam Metropolitan Library Authority for the procurement of qualified Librarian professional services to be rendered at the SMLA Central Branch Library located in Thailand Bangkok. The Librarian engaged under this Purchase Order shall be responsible for the management, cataloguing, digitization, and patron services of the library collection, ensuring compliance with the Thai National Library Standards and the International Federation of Library Associations (IFLA) guidelines.

4. Terms and Conditions

Scope of Work: The Librarian services procured under this Purchase Order shall be performed exclusively at the SMLA Central Branch Library and its satellite reading rooms located within the Thailand Bangkok metropolitan area. The Librarian shall adhere to all operational policies, confidentiality agreements, and patron service standards established by the Siam Metropolitan Library Authority.
Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on 01 September 2025 and expiring on 31 August 2026, unless renewed in writing by both parties no later than sixty (60) days prior to expiration.
Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Supplier. All payments shall be processed in Thai Baht (THB) via bank transfer to the account designated by Bangkok Professional Librarian Services Co., Ltd. The total value of this Purchase Order is Two Million Eight Hundred Thirty-Six Thousand Five Hundred Seventy Thai Baht (THB 2,836,570.00).
Qualification Requirements: The Librarian assigned to this Purchase Order must hold a minimum of a Master's degree in Library and Information Science (M.LIS / M.LiSc) from an accredited institution in Thailand or internationally recognized by the Thai Ministry of Higher Education. The Librarian must demonstrate a minimum of five (5) years of professional experience in academic or public library settings, with proficiency in both Thai and English languages.
Performance Standards: The Librarian shall maintain a minimum patron satisfaction rating of 90% as measured by quarterly surveys conducted by the SMLA. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days written notice.
Compliance with Thai Law: All services rendered under this Purchase Order shall comply with the Thai Labour Protection Act B.E. 2541 (1998), the Personal Data Protection Act B.E. 2562 (2019), and all applicable regulations of the Ministry of Culture in Thailand Bangkok. The Librarian shall be subject to Thai employment tax withholding as mandated by the Revenue Department.
Intellectual Property: All cataloguing records, digitized materials, research outputs, and administrative documentation created by the Librarian in the course of performing duties under this Purchase Order shall be the exclusive property of the Siam Metropolitan Library Authority.
Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days written notice. Upon termination, all Librarian equipment, materials, and access credentials shall be returned to the SMLA within seven (7) business days.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Bangkok International Arbitration Centre (BIAC). If mediation fails, the matter shall be referred to the competent court in Thailand Bangkok.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Librarian services in Thailand Bangkok. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
