  1. This Purchase Order is issued in accordance with the procurement policies of the Dubai Knowledge & Information Authority and the federal procurement regulations of the United Arab Emirates. All transactions are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.
  2. The Supplier shall ensure that the appointed Librarian holds a valid UAE work permit, Emirates ID, and a professional library qualification (MLIS, MSc in Library and Information Science, or equivalent) recognized by the UAE Ministry of Education and the Dubai Academic City accreditation body.
  3. The Librarian shall comply with all data protection obligations under the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, particularly when handling patron records and sensitive research materials within the library premises in Dubai.
  4. Payment shall be made via bank transfer to the Supplier's designated account in AED within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed by the UAE Federal Tax Authority.
  5. The Supplier warrants that the Librarian shall not be engaged in any conflicting professional capacity with other library institutions in Dubai or the wider United Arab Emirates during the term of this Purchase Order without prior written consent from the Buyer.
  6. Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure a minimum of thirty (30) days of transition support for the Librarian's handover of all catalogue records, digital assets, and patron files.
  7. All disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Buyer's election, through arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules.
  8. The Supplier shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.
  9. This Purchase Order does not constitute an employment contract. The Librarian is engaged as a professional service provider through the Supplier entity. All employment-related obligations, including end-of-service benefits under UAE Labour Law (Federal Decree-Law No. 33 of 2021), remain the sole responsibility of the Supplier.
  10. All communications, invoices, and amendments related to this Purchase Order shall be conducted in English and Arabic. In the event of any discrepancy between the English and Arabic versions, the English version shall prevail.

All services under this Purchase Order shall be performed at the Dubai Knowledge Centre, Tower 1, Business Bay, Dubai, United Arab Emirates, or at such other location within the Emirate of Dubai as mutually agreed in writing by both parties. The Librarian shall report to the Director of Library Operations on a full-time basis, Monday through Friday, 8:00 AM to 5:00 PM UAE Standard Time (GST, UTC+4), in accordance with the UAE standard working week.

By signing below, both parties acknowledge that this Purchase Order for Librarian professional services in the United Arab Emirates Dubai has been reviewed, understood, and accepted in full. This document constitutes a binding agreement between the Buyer and the Supplier for the duration specified herein.
