1. This Purchase Order is governed by the laws of the State of Texas and the applicable federal statutes of the United States. Any disputes arising from this Purchase Order shall be resolved in the courts of Harris County, United States Houston, Texas.

2. The Vendor agrees to deliver a fully qualified Librarian candidate who meets all stated requirements within thirty (30) calendar days of the date of this Purchase Order. Failure to meet this deadline shall entitle the issuing organization to a 5% reduction in the placement fee per week of delay, up to a maximum of 25%.

3. The Librarian placed under this Purchase Order shall be subject to a 90-day probationary period. During this period, the Vendor guarantees a no-cost replacement if the Librarian does not meet the performance standards outlined in the attached job description.

4. All services rendered under this Purchase Order must be performed at the designated United States Houston locations or as otherwise agreed upon in writing by both parties.

5. Payment shall be made via electronic funds transfer (EFT) to the Vendor's designated account within thirty (30) days of receipt of a valid invoice referencing this Purchase Order number (PO-HOU-2025-04782).

6. The Vendor warrants that the Librarian candidate shall not be under any non-compete or restrictive covenant that would prevent full-time employment with the Harris County Public Library System in United States Houston.

7. This Purchase Order may not be assigned or transferred by the Vendor without prior written consent from the issuing organization.

8. All records, candidate data, and personal information related to the Librarian placement shall be handled in compliance with the Texas Identity Theft Enforcement and Protection Act and applicable federal privacy regulations.

This Purchase Order is authorized and approved by the undersigned representatives of the Harris County Public Library System, United States Houston, and is accepted by the Vendor as stated below. By signing, both parties acknowledge that the terms, conditions, and line items specified in this Purchase Order are agreed upon and binding.
