Terms and Conditions – Purchase Order BPL-2025-04782

1. This Purchase Order constitutes a binding agreement between the Brooklyn Public Library System (hereinafter "the Buyer") and Meridian Academic Staffing Solutions, LLC (hereinafter "the Vendor") for the procurement of professional Librarian services to be rendered at the Brooklyn Heights Branch Library located in New York City, United States.
2. The Vendor shall ensure that the Librarian placed under this Purchase Order holds a minimum of a Master of Library and Information Science (MLIS) degree from an ALA-accredited institution and possesses no fewer than five (5) years of professional experience in public library services within the United States.
3. All services and equipment referenced in this Purchase Order shall be delivered to the specified New York City, United States location no later than the dates indicated in the line-item schedule. Failure to meet the required delivery date of August 1, 2025, shall entitle the Buyer to a penalty of 1.5% of the total contract value per calendar day of delay, up to a maximum of 15%.
4. Payment shall be remitted via ACH transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice referencing Purchase Order number BPL-2025-04782. All payments are subject to New York State and New York City tax withholding regulations as mandated by the United States Internal Revenue Service.
5. The Librarian engaged under this Purchase Order shall comply with all applicable New York City municipal codes, United States federal employment laws, and the Brooklyn Public Library System's internal policies regarding confidentiality, patron privacy (in accordance with the New York State Library Law and the United States Library of Congress privacy guidelines), and workplace conduct.
6. This Purchase Order is governed by the laws of the State of New York and the federal laws of the United States. Any disputes arising from the interpretation or performance of this document shall be resolved through binding arbitration in New York City, United States, in accordance with the rules of the American Arbitration Association.
7. The Vendor warrants that all equipment and software licenses listed in this Purchase Order are new, free from defects, and fully licensed for use within the United States. A minimum one-year manufacturer's warranty applies to all hardware items.
8. Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. The Librarian placement is non-transferable to any other branch or location outside of New York City, United States, without a formal amendment to this document.
9. This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of the Librarian's commencement of duties, unless terminated earlier by mutual written agreement or in accordance with the termination clauses of the underlying service agreement.
