4.1. This Purchase Order is governed by the laws of the Socialist Republic of Vietnam, including the Civil Code of Vietnam (2015) and the Law on Public Procurement (2023, effective 2024). All disputes arising from this Purchase Order shall be resolved in the competent courts of Ho Chi Minh City, Vietnam.

4.2. The Supplier shall ensure that all Librarian personnel deployed under this Purchase Order hold a minimum of a Bachelor's degree in Library and Information Science from an accredited institution in Vietnam or an internationally recognized equivalent. The Senior Librarian position requires a minimum of five (5) years of professional experience in library operations within Ho Chi Minh City or other major Vietnamese cities.

4.3. All Librarian services shall be performed at the designated library branches in Ho Chi Minh City during standard operating hours (Monday to Saturday, 08:00 to 17:00 Vietnam Standard Time). The Supplier is responsible for all employment-related obligations, including social insurance contributions as mandated by Vietnamese labor law.

4.4. The Buyer reserves the right to inspect and audit the quality of Librarian services rendered under this Purchase Order at any reasonable time with 48 hours' prior written notice.

4.5. Any modification to the scope, quantity, or pricing stated in this Purchase Order must be documented in a written amendment signed by both parties. No verbal agreements shall alter the terms of this Purchase Order.

Payment for this Purchase Order shall be made in Vietnamese Dong (VND) via bank transfer to the Supplier's designated account. The payment schedule is as follows: 30% advance payment upon signing of this Purchase Order; 40% upon successful deployment of all Librarian personnel and delivery of technical equipment to the Ho Chi Minh City branches; and 30% final payment upon completion of the 12-month service period and satisfactory acceptance by the Buyer. Invoices must be submitted in accordance with Vietnamese tax regulations and must reference this Purchase Order number (HCMC-LIB-2025-0047).

All Librarian personnel shall commence their duties no later than 1 August 2025 at the specified Ho Chi Minh City locations. Technical equipment and reference materials shall be delivered and installed by 25 July 2025. The Supplier shall provide a detailed onboarding and orientation plan for all Librarian staff within the first two weeks of deployment.
