The Marine Engineer appointed under this Purchase Order must hold a minimum of a Bachelor's degree in Marine Engineering or Naval Architecture from an accredited Algerian or internationally recognized institution. The candidate must possess a valid Certificate of Competency (CoC) issued by the Algerian Ministry of Transport and must hold a minimum of eight (8) years of progressive experience in marine engineering, with at least three (3) years of direct experience in the Mediterranean shipping environment. The Marine Engineer must be fluent in both Arabic and French, the two official working languages of the Algerian maritime sector, and must demonstrate proficiency in English for international regulatory correspondence.

All engineering work performed under this Purchase Order shall adhere to the Algerian Maritime Code (Code de la Marine Marchande), the SOLAS Convention, MARPOL regulations, and the specific operational directives issued by the Port of Algiers Authority. The Marine Engineer shall maintain a detailed engineering logbook for each vessel and submit monthly progress reports to the buyer's office in Algiers.

The services outlined in this Purchase Order shall commence on 01 July 2025 and shall be completed in accordance with the following milestones:

Phase 1 (July – August 2025): Initial fleet assessment, baseline condition surveys, and regulatory gap analysis for all six vessels at the Port of Algiers.

Phase 2 (September – November 2025): Execution of propulsion, electrical, and safety system overhauls. The Marine Engineer shall coordinate with the dry dock facilities at the Algiers naval base for hull-related interventions.

Phase 3 (December 2025 – February 2026): Navigation equipment upgrades, environmental compliance certification, and crew training programs.

Phase 4 (March – June 2026): Final inspections, Algerian Maritime Authority certification, and handover of all engineering documentation to SAMM in Algiers.

Payment for this Purchase Order shall be made in Algerian Dinars (DZD) via bank transfer to the supplier's designated account at a licensed Algerian bank in Algiers. The payment schedule is as follows:

30% advance payment upon signed acceptance of this Purchase Order (within 15 business days).

40% upon successful completion of Phase 2 and submission of the interim engineering report.

25% upon completion of Phase 3 and delivery of all training certificates.

5% final retention payment upon full acceptance of all deliverables and issuance of the final compliance certificate by the Algerian Maritime Authority.

All payments are subject to the standard Algerian withholding tax provisions. Late payments shall incur a penalty of 1.5% per month as stipulated under Algerian commercial law. The supplier must provide a valid tax invoice (facture) for each payment tranche, stamped and registered with the relevant Algiers tax office.

7.1. This Purchase Order is governed by the laws of the People's Democratic Republic of Algeria. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the competent commercial courts of Algiers, Algeria.

7.2. The supplier warrants that the Marine Engineer assigned to this contract shall be fully insured under Algerian social security (CNAS) and shall carry professional liability insurance with a minimum coverage of 50,000,000 DZD.

7.3. The supplier shall not subcontract any portion of the Marine Engineer services without prior written consent from the buyer. Any approved subcontracting must comply with Algerian labor and immigration regulations.

7.4. All intellectual property, engineering reports, and technical documentation produced under this Purchase Order shall remain the exclusive property of SAMM, Algiers, Algeria.

7.5. The supplier shall maintain full compliance with Algerian environmental regulations, particularly those governing marine waste disposal and emissions within the territorial waters of Algiers.

7.6. Force majeure events, including but not limited to port closures, government-mandated shutdowns, or natural disasters affecting the Algiers coastline, shall suspend performance obligations for the duration of the event, provided written notice is given within 48 hours.

7.7. This Purchase Order becomes effective upon signature by both parties and remains valid for the duration of the contract period plus a 30-day warranty period for all engineering interventions.
