This Purchase Order is issued by Harbourline Maritime Services Pty Ltd (hereinafter referred to as the "Purchaser") to Pacific Marine Engineering Group Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Marine Engineer to provide comprehensive technical services, maintenance oversight, and operational support for the Purchaser's fleet of commercial vessels operating out of the Port of Botany and the broader waters of Australia Sydney. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of the Marine Engineer for a contract period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement.

The Marine Engineer engaged under this Purchase Order shall hold a valid Australian Certificate of Competency (CoC) as a Chief Engineer or Second Engineer, issued in accordance with the Standards for Sea-Worthy Ships (SWS) administered by the Australian Maritime Safety Authority (AMSA). The Marine Engineer must also possess a current White Card, a valid NSW driver's licence, and demonstrate a minimum of eight (8) years of progressive experience in marine engineering operations within Australian waters, with particular familiarity with the regulatory environment specific to Australia Sydney and the surrounding maritime zones.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia Sydney, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia Sydney.
  2. Qualifications and Insurance: The Marine Engineer engaged under this Purchase Order must maintain, at all times, a valid Australian CoC, professional indemnity insurance with a minimum cover of AUD $5,000,000, and public liability insurance of no less than AUD $10,000,000. Certificates of insurance must be provided to the Purchaser prior to the commencement date.
  3. Performance Standards: The Marine Engineer shall adhere to all applicable Australian maritime safety regulations, the International Safety Management (ISM) Code, and the specific operational procedures of the Purchaser. Failure to meet performance standards as outlined in the attached Service Level Agreement (SLA) may result in contractual penalties of 2% of the monthly fee per day of non-compliance.
  4. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the Australian Taxation Office (ATO) requirements. All payments shall be made via electronic funds transfer (EFT) to the Supplier's nominated bank account in Australia Sydney.
  5. Confidentiality: The Marine Engineer shall treat all operational data, vessel specifications, commercial information, and crew records as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. The Purchaser may terminate immediately for material breach, including but not limited to the Marine Engineer's failure to maintain valid certifications or gross negligence in the performance of duties.
  7. Work Health and Safety: The Marine Engineer shall comply with the Work Health and Safety Act 2011 (NSW) and all site-specific safety management plans at the Purchaser's facilities in Australia Sydney. The Supplier shall ensure the Marine Engineer completes all required site inductions prior to commencing work.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather events affecting Australia Sydney port operations, government-imposed maritime restrictions, or acts of God.
  9. Intellectual Property: All maintenance records, technical reports, PMP documentation, and compliance files generated by the Marine Engineer in the course of this Purchase Order shall be the property of the Purchaser upon completion and payment.
  10. Subcontracting: The Supplier shall not subcontract any portion of the Marine Engineer's duties without the prior written consent of the Purchaser. Any approved subcontractor must meet the same qualification and insurance standards as the primary Marine Engineer.
