- Scope of Work: The Marine Engineer and support team shall perform all duties in strict accordance with the technical specifications outlined in Annex A of this Purchase Order. All work shall be executed at the Brasília Inland Waterway Terminal and associated offices located in Brazil Brasília, Federal District.
- Project Duration: The engagement period shall commence on 01 August 2025 and conclude on 31 July 2026, subject to satisfactory completion of all deliverables as defined in this Purchase Order.
- Payment Terms: Payment shall be made in monthly installments of BRL 19,396.25 (one-twelfth of the grand total), due within fifteen (15) business days of receipt of the corresponding invoice. All payments shall be processed via bank transfer to the account designated by the supplier in Brazil Brasília.
- Regulatory Compliance: The Marine Engineer shall ensure full compliance with all applicable Brazilian maritime regulations, including but not limited to the norms issued by the Marinha do Brasil, the Agência Nacional de Transportes Aquaviários (ANTT), and the environmental standards enforced by IBAMA within the Brazil Brasília jurisdiction.
- Intellectual Property: All reports, designs, maintenance programs, and technical documentation produced under this Purchase Order shall be the exclusive property of TransAtlântico Maritime Solutions S.A. upon full payment.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, vessel specifications, and operational data exchanged during the execution of this Purchase Order in Brazil Brasília.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Marine Engineer shall deliver all work-in-progress documentation and materials to the Buyer within fourteen (14) days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Brazil Brasília, in accordance with the rules of the Câmara de Comércio Internacional (ICC), with proceedings conducted in Portuguese.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific application of the Civil Code (Código Civil) and the Brazilian Maritime Code (Código Comercial).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Marine Engineer professional services to be performed in Brazil Brasília.
