4.1 — Place of Performance: All services under this Purchase Order shall be executed at the São Paulo Maritime Logistics Terminal and associated facilities located in the municipality of São Paulo, State of São Paulo, Federative Republic of Brazil. The Marine Engineer shall report to the designated project office at the terminal no later than 07:00 BRT (Brasília Time) on each scheduled working day.

4.2 — Qualification Requirements: The Marine Engineer engaged under this Purchase Order must hold a valid Certificate of Competency (COC) issued or recognized by the Brazilian Maritime Authority, a minimum of ten (10) years of progressive experience in marine propulsion and auxiliary systems, and fluency in both Portuguese and English for all technical documentation and on-site communication in São Paulo.

4.3 — Payment Terms: Payment shall be made in three (3) equal installments via bank transfer (TED/PIX) to the supplier's account in Brazil. The first installment (33.33%) is due upon acceptance of this Purchase Order. The second installment (33.33%) is due upon completion of the main engine overhaul and commissioning milestones. The final installment (33.34%) is due upon delivery of all documentation, completion of the safety audit, and successful training sessions. Payment is due within fifteen (15) calendar days of invoice presentation.

4.4 — Duration and Schedule: The Marine Engineer services shall commence on 01 July 2025 and are expected to be completed by 30 November 2025, subject to a total project duration of five (5) months. Any extension beyond this period must be authorized in writing by both parties and shall be reflected in a formal amendment to this Purchase Order.

4.5 — Health, Safety, and Environment (HSE): The Marine Engineer shall comply with all HSE protocols established by the São Paulo terminal operator, including but not limited to the use of personal protective equipment (PPE), adherence to confined-space entry procedures, and compliance with Brazilian environmental regulations (CONAMA resolutions) applicable to marine operations in the São Paulo metropolitan area.

4.6 — Intellectual Property: All technical reports, maintenance schedules, training materials, and regulatory filings produced by the Marine Engineer in the course of this Purchase Order shall become the exclusive property of Atlântico Marítima S.A. upon full payment. The supplier retains the right to use anonymized data for internal quality improvement purposes.

4.7 — Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with particular reference to the Brazilian Civil Code (Código Civil, Lei nº 10.406/2002) and the Brazilian Commercial Code. Any disputes arising from or in connection with this Purchase Order shall be resolved by arbitration in São Paulo, SP, in accordance with the rules of the CAMARB (Câmara de Mediação e Arbitragem do Brasil), conducted in the Portuguese language.

4.8 — Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the supplier shall be compensated for all services rendered and non-cancellable expenses incurred up to the date of termination, as documented and agreed upon by both parties.

4.9 — Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, commercial, and operational information exchanged in connection with this Purchase Order. This obligation shall survive the termination or expiration of this document for a period of three (3) years.
