NOTE: All services rendered by the Marine Engineer under this Purchase Order must be performed in accordance with the Canadian Shipping Act, 2001, and the Marine Safety Regulations (SOR/2001-442). The Marine Engineer must hold a valid Transport Canada Marine Engineer's License (Class A or B) and maintain current professional liability insurance with a minimum coverage of CAD $5,000,000. All work is to be conducted at the Port of Toronto, Canada Toronto, and the vendor assumes responsibility for all site safety compliance under the Ontario Occupational Health and Safety Act. TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order constitutes a binding offer. The vendor, Pacific Crest Marine Engineering Ltd., must confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
  2. Scope of Work: The Marine Engineer assigned to this contract must be a licensed professional as recognized by Transport Canada. The vendor shall provide the Marine Engineer's credentials, insurance certificates, and a detailed work plan prior to commencing any on-site activity at the Canada Toronto port facility.
  3. Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice and completion of all deliverables specified in this Purchase Order. Payment will be processed via electronic funds transfer (EFT) to the vendor's registered Canadian banking account. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Prompt Payment and Dispute Resolution Act.
  4. Warranty: All repairs and services performed by the Marine Engineer carry a minimum warranty period of twelve (12) months from the date of completion. Any defects discovered within this warranty period shall be remedied at no additional cost to Harbourline Marine Services Inc.
  5. Confidentiality: The vendor and the assigned Marine Engineer agree to maintain strict confidentiality regarding all vessel specifications, operational data, and proprietary information encountered during the performance of this Purchase Order. This obligation survives the termination of this agreement for a period of three (3) years.
  6. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the vendor shall be compensated for all work completed and materials delivered up to the date of termination, as documented by the Marine Engineer's progress reports.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Ontario.
  8. Force Majeure: Neither party shall be liable for delays caused by acts of God, severe weather conditions affecting the Port of Toronto, government-mandated shutdowns, or other events beyond reasonable control, provided that the affected party notifies the other within forty-eight (48) hours.
