Terms and Conditions

  1. This Purchase Order constitutes a binding agreement between North Pacific Maritime Holdings Inc. (hereinafter "Buyer") and Coastal Marine Engineering Solutions Ltd. (hereinafter "Vendor") for the provision of qualified Marine Engineer services within the Port of Vancouver and the Greater Vancouver region, British Columbia, Canada.
  2. All Marine Engineer personnel assigned under this Purchase Order must hold valid Canadian Marine Engineer Certificates issued by Transport Canada and maintain current medical fitness certifications as required by the Canadian Coast Guard.
  3. The Vendor shall ensure that all Marine Engineer personnel comply with the Canada Shipping Act, 2001, the Marine Safety Act, and all applicable regulations of the British Columbia provincial government regarding maritime operations in Vancouver waters.
  4. Payment shall be made via electronic funds transfer (EFT) to the Vendor's designated bank account in Vancouver, Canada, within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-VAN-ME-0472).
  5. The Vendor shall provide a detailed monthly progress report to the Buyer's Procurement Department, outlining hours worked, maintenance activities performed, parts utilized, and any outstanding engineering concerns for each vessel in the Vancouver fleet.
  6. Any changes to the scope of Marine Engineer services, additional vessel assignments, or modifications to the delivery schedule must be approved in writing by the Buyer's authorized representative prior to execution. No verbal modifications to this Purchase Order shall be binding.
  7. The Vendor shall maintain comprehensive professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, naming North Pacific Maritime Holdings Inc. as an additional insured. Proof of insurance shall be provided prior to the commencement of services in Vancouver.
  8. All work performed under this Purchase Order shall be conducted in accordance with the International Safety Management (ISM) Code, the International Maritime Organization (IMO) conventions, and all local regulations applicable to the Port of Vancouver, Canada.
  9. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to binding arbitration in Vancouver, British Columbia, Canada, under the rules of the British Columbia International Commercial Arbitration Centre (BCICAC).
  10. This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The Vendor acknowledges that all services are to be rendered within the jurisdiction of Vancouver, Canada, and all tax obligations (including GST at the applicable British Columbia rate) shall be borne as specified herein.
  11. The Vendor warrants that all Marine Engineer personnel assigned shall not be under the influence of alcohol or controlled substances while performing duties on any vessel or at any facility within the Port of Vancouver. Violation of this clause shall constitute immediate grounds for termination of this Purchase Order without penalty to the Buyer.
