1. SCOPE OF PROCUREMENT — MARINE ENGINEER SERVICES

This Purchase Order is issued by Pacific Maritime Services S.A., headquartered in Chile Santiago, to formally request and authorize the procurement of specialized Marine Engineer professional services. The contracted Marine Engineer shall provide comprehensive technical oversight, maintenance planning, and operational support for the vessel fleet currently docked and operating out of the Port of San Antonio, with administrative coordination managed from our principal offices in Chile Santiago. The Marine Engineer engagement is critical to ensuring compliance with the Chilean Maritime Authority (Dirección Marítima de Chile) regulations and international SOLAS standards applicable to all vessels registered under the Chilean flag.

3. TERMS AND CONDITIONS
  1. Place of Performance: All administrative, planning, and coordination activities related to this Purchase Order shall be conducted from the offices of Pacific Maritime Services S.A. located in Chile Santiago, specifically at Av. Providencia 1250, Of. 801. Fieldwork and on-vessel Marine Engineer duties shall be performed at the Port of San Antonio and the Port of Valparaíso as directed by the Buyer's operations team.
  2. Qualification Requirements: The Marine Engineer assigned to this contract must hold a valid Certificate of Competency (COC) as Chief Engineer (Second Class) issued by the Dirección Marítima de Chile, a minimum of ten (10) years of experience in marine propulsion systems, and current STCW 1978/2010 certifications. The Marine Engineer must also demonstrate familiarity with Chilean maritime labor regulations (Código del Trabajo, Title I, Chapter IV).
  3. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-project milestone review conducted in Chile Santiago, and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by Oceanic Technical Consulting SpA, in Chilean Pesos (CLP), in accordance with the Chilean Central Bank (Banco Central de Chile) regulations.
  4. Intellectual Property: All technical reports, maintenance logs, engineering drawings, and compliance documentation produced by the Marine Engineer under this Purchase Order shall become the exclusive property of Pacific Maritime Services S.A. and shall be stored at our Chile Santiago headquarters.
  5. Insurance & Liability: The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of CLP 500,000,000, valid throughout the Republic of Chile. The Marine Engineer shall be covered under the Seller's employer's liability policy (Seguro de Accidentes del Trabajo y Enfermedades Profesionales) as mandated by Chilean law (Ley 16.744).
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Marine Engineer shall complete all in-progress tasks and submit a final handover report to the Buyer's Chile Santiago office within fifteen (15) business days.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this agreement shall be resolved by the competent commercial courts of Chile Santiago, Metropolitan Region.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding vessel specifications, operational data, and commercial terms disclosed during the execution of this Purchase Order. The Marine Engineer shall sign a non-disclosure agreement (NDA) prior to commencing any work in Chile Santiago or at any port facility.
4. APPROVAL & AUTHORIZATION

This Purchase Order for Marine Engineer services in Chile Santiago is hereby authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges the terms, conditions, and scope of work outlined in this document and agrees to be bound by its provisions under Chilean commercial law.
